Alternative Passive Infrastructure Asset Transaction definition

Alternative Passive Infrastructure Asset Transaction means, with respect to the Borrower or any Subsidiary, any transaction (or series of related transactions) pursuant to which the Borrower or such Subsidiary contractually grants management and/or operational rights and benefits and/or some or substantially all of the rights and benefits of ownership of one or more Indosat Towers to one or more persons, and such person or persons contractually accept obligations in connection with the management and/or operation and/or which may or may not be incident to ownership of the subject Indosat Towers for any period, any of which may or may not include the transfer of or agreement to transfer legal title to any right and/or asset to such person or the sale, lease, transfer, issuance or disposition of any right and/or asset to such person (or any agreement to do the foregoing), in any such case, where Borrower or any Subsidiary continues to have the right to use (whether or not pursuant to any lease or otherwise) all or a portion of such Indosat Towers.
Alternative Passive Infrastructure Asset Transaction means, in relation to the Issuer or the Subsidiaries, any transaction (or a series of related transactions) in which the Issuer or the Subsidiaries contractually provides managerial and/or operational rights and benefits and/or some or most of the ownership rights and benefits of one or more Indosat Tower to one or more other party(ies) and such other party(ies) contractually accept the obligations in connection with the management and/or operation and/or that may relate or not relate with ownership of the Indosat Tower for any period, and anything that may include or exclude transfer of or agreement for transfer of legal right for any rights and/or assets party(ies) or to sell, rent, transfer or issue any rights and/or asset of the party(ies) (or any agreement to do so), in such a case, in which the Issuer or the Subsidiaries retain the right to use (either under lease agreement or otherwise) all or a portion of the Indosat Tower.
Alternative Passive Infrastructure Asset Transaction means, with respect to the Issuer or the Subsidiary, any transactions (or series of related transactions) for which the Issuer or the Subsidiary shall contractually provide rights and benefits of management and/or operational rights and several or most of the rights and benefits of ownership of one or more Indosat Tower(s) to one or more party(ies), and the other (party(ies) shall contractually receive obligations in connection with the management and/or operations and/or which may be related or unrelated to the ownership of the Indosat Tower for any periods, from those which may be included or may not be included in the transfer of or the agreement to transfer the legal right for any rights and/or assets to that party or to sell, lease, transfer or issue rights and/or assets to that party (or the agreement to do so), in such a case, for which the Issuer or the Subsidiary shall remain to have the right to use (whether under the lease agreement or otherwise) all or a portion of the Indosat Tower.

  • Train Loading Infrastructure means conveyors, stockpile areas, blending and screening facilities, stackers, re‑claimers and other infrastructure reasonably required for the loading of iron ore, freight goods or other products onto the relevant Railway for transport (directly or indirectly) to a loading port; and

  • Green infrastructure means a stormwater management measure that manages stormwater close to its source by:

  • Train Unloading Infrastructure means train unloading infrastructure reasonably required for the unloading of iron ore from the Railway to be processed, or blended with other iron ore, at processing or blending facilities in the vicinity of that train unloading infrastructure and with the resulting iron ore products then loaded on to the Railway for transport (directly or indirectly) to a loading port.   • Planned External Financed Generation Capacity Resource means a Planned External Generation Capacity Resource that, prior to August 7, 2015, has an effective agreement that is the equivalent of an Interconnection Service Agreement, has submitted to the Office of the Interconnection the appropriate certification attesting achievement of Financial Close, and has secured at least 50 percent of the MWs of firm transmission service required to qualify such resource under the deliverability requirements of the Reliability Assurance Agreement.

  • energy infrastructure means any physical equipment or facility which is located within the Union or linking the Union to one or more third countries and falling under the following categories:

  • Infrastructure facility means a building; structure; or networks of buildings, structures, pipes, controls, and equipment, or portion thereof, that provide transportation, utilities, public education, or public safety services. Included are government office buildings; public schools; courthouses; jails; prisons; water treatment plants, distribution systems, and pumping stations; wastewater treatment plants, collection systems, and pumping stations; solid waste disposal plants, incinerators, landfills, and related facilities; public roads and streets; highways; public parking facilities; public transportation systems, terminals, and rolling stock; rail, air, and water port structures, terminals, and equipment.

  • Generation Interconnection Feasibility Study means a study conducted by the Transmission Provider (in coordination with the affected Transmission Owner(s)) in accordance with Tariff, Part IV, section 36.2.

  • Generation Interconnection Facilities Study means a Facilities Study related to a Generation Interconnection Request.

  • Planned Financed Generation Capacity Resource means a Planned Generation Capacity Resource that, prior to August 7, 2015, has an effective Interconnection Service Agreement and has submitted to the Office of the Interconnection the appropriate certification attesting achievement of Financial Close.

  • Environmental Infrastructure Facilities means Wastewater Treatment Facilities, Stormwater Management Facilities or Water Supply Facilities (as such terms are defined in the Regulations).

  • Critical Energy Infrastructure Information means all information, whether furnished before or after the mutual execution of this Agreement, whether oral, written or recorded/electronic, and regardless of the manner in which it is furnished, that is marked “CEII” or “Critical Energy Infrastructure Information” or which under all of the circumstances should be treated as such in accordance with the definition of CEII in 18 C.F.R. § 388.13(c)(1). The Receiving Party shall maintain all CEII in a secure place. The Receiving Party shall treat CEII received under this agreement in accordance with its own procedures for protecting CEII and shall not disclose CEII to anyone except its Authorized Representatives.

  • Solar PV Project means the solar Photo Voltaic Power project that uses sunlight for direct conversion into electricity through Photo Voltaic technology.

  • Environmental Infrastructure System means the Environmental Infrastructure Facilities of the Borrower, including the Project, for which the Borrower is receiving the Loan.

  • Generation Interconnection Agreement means the generation interconnection agreement to be entered into separately between Seller and PGE, providing for the construction, operation, and maintenance of interconnection facilities required to accommodate deliveries of Seller's Net Output.

  • Reference Interconnection Offer or “RIO” means a document published by a service provider specifying terms and conditions on which the other service provider may seek interconnection with such service provider;

  • Cogeneration unit means a unit that is able to operate in cogeneration mode;

  • Secondary dose monitoring system means a system which will terminate irradiation in the event of failure of the primary dose monitoring system.

  • Broadband infrastructure means the physical infrastructure used for the transmission of data that provides broadband services. “Broadband infrastructure” does not include land, buildings, structures, improvements, or equipment not directly used in the transmission of data via broadband.

  • Wireless infrastructure provider means any person, including a person authorized to provide telecommunications service in the state, that builds or installs transmission equipment, wireless facilities, or wireless support structures, but that is not a wireless services provider.

  • Immature marijuana plant means a marijuana plant that is not flowering.

  • Public School Student Accessing Courses at a Distance means a student who is scheduled for a full course load through the District and attends all classes virtually.

  • Infrastructure fund means the renewable fuel infrastructure fund created in section 159A.16.

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.
