Agreed Recoupments definition

Agreed Recoupments. – means the sums set out in the Special Terms which are agreed by the BBC as being recoupable either by a third party or the Producer and which are actually applied by the Producer towards the direct cost of production of the Programme, provided that:

Examples of Agreed Recoupments in a sentence

  • The Producer shall not enter into any arrangement with any third party (including those third parties listed as providing Third Party Production Finance in the Special Terms) which may conflict with the terms of this Agreement, including the level of Agreed Recoupments as applied to the definition of Net Revenue.

  • Where the Special Terms identify Agreed Recoupments, the Producer shall submit a final cost report (certified by the Producer’s Finance Director, or equivalent) demonstrating the application of the Agreed Recoupments towards the direct cost of production (including production fee and overhead) of the Programme.

Related to Agreed Recoupments

  • Recoupment means the recovery of skills or behaviors specified on the IEP to a level demonstrated before the interruption of education services.

  • Overpayments as used in this Section include payments (i) made by the System Agency that exceed the maximum allowable rates; (ii) that are not allowed under applicable laws, rules, or regulations; or (iii) that are otherwise inconsistent with this Contract, including any unapproved expenditures. Xxxxxxx understands and agrees that it will be liable to the System Agency for any costs disallowed pursuant to financial and compliance audit(s) of funds received under this Contract. Xxxxxxx further understands and agrees that reimbursement of such disallowed costs shall be paid by Grantee from funds which were not provided or otherwise made available to Grantee under this Contract.

  • Released PAGA Claims means the claims being released as described in Paragraph 6.2 below.

  • Defendant Releasees means (i) Defendants and their attorneys; (ii) the current and former parents, affiliates, subsidiaries, successors, predecessors, assigns, and assignees of each of the foregoing in (i); and (iii) the current and former officers, employees, directors, Immediate Family members, heirs, trusts, trustees, executors, estates, administrators, beneficiaries, agents, affiliates, insurers, reinsurers, predecessors, predecessors-in-interest, successors, successors-in- interest, assigns and advisors of each of the persons or entities listed in (i) and (ii), in their capacities as such.

  • Released Party means collectively, and in each case in its capacity as such:

  • Indemnifiable Damages shall have the meaning set forth in Section 9.1 herein.

  • Releasee or “Releasees” shall refer to you and to the Company and each of the Company’s owners, stockholders, predecessors, successors, assigns, agents, directors, officers, employees, representatives, attorneys, advisors, parent companies, divisions, subsidiaries, affiliates (and agents, directors, officers, employees, representatives, attorneys and advisors of such parent companies, divisions, subsidiaries and affiliates) and all persons acting by, through, under or in concert with any of them.

  • Non-Recourse Parties has the meaning provided in Section 12.16.

  • Tax Refunds means refunds of any Cash paid by the Participating CCAA Parties on account of Taxes, refunded to such Participating CCAA Parties from time to time by the applicable Taxing Authorities;

  • Released Defendants’ Claims means all claims and causes of action of every nature and description, including both known claims and Unknown Claims (as defined below), whether arising under federal, state, common or foreign law, or any other law, that Defendants could have asserted against any of the Released Plaintiff Parties that arise out of or relate in any way to the institution, prosecution, or settlement of the claims in the Action, except for claims relating to the enforcement of the Settlement.

  • Clawback means the obligation to repay amounts to a Member of the CFG Group by an individual in accordance with rule 4 as the Committee considers appropriate;

  • Privacy Obligations means (a) applicable privacy, information security and data protection Laws, (b) applicable self-regulatory standards and (c) published policies or notices of the Company and the Company Subsidiaries, in each case, to the extent related to privacy, information security, data protection or the Processing of Personal Information.

  • Claims Made Policies has the meaning set forth in Section 5.01(b).

  • legal or administrative action means any legal proceeding or arbitration and any administrative or regulatory action or investigation;

  • Overpayment means payment in excess of the required fee. Overpayment of less than $10 received by the board shall not be refunded.

  • Releasees means each and any of the Defendants’ Releasees and each and any of the Plaintiffs’ Releasees.

  • Expense Reimbursement has the meaning set forth in Section 8.2(c).

  • Claims Made Coverage. If any required insurance is written on a “claims made” form, Contractor shall maintain the coverage continuously throughout the Term, and, without lapse, for three years beyond the termination or expiration of this Agreement and the JBE’s acceptance of all Work provided under this Agreement. The retroactive date or “prior acts inclusion date” of any “claims made” policy must be no later than the date that Work commences under this Agreement.

  • Tax Refund means a refund of Taxes previously paid and any overpayment interest within the meaning of Section 6611 of the Code or any similar provision under applicable Tax Law (whether paid by way of a refund or credited against any liability for related Taxes).

  • Third Party Liability has the meaning ascribed thereto in Section 8.3.2;
