Acquiror Public Warrant definition

Acquiror Public Warrant means a warrant to purchase one (1) share of Acquiror Class A Common Stock at an exercise price of eleven Dollars fifty cents ($11.50) that was included in the units sold as part of Acquiror’s initial public offering.

• Each Acquiror Unit outstanding immediately prior to the Merger Effective Time shall be automatically detached and the holder thereof shall be deemed to hold one share of Class A common stock of Acquiror, one-half of Acquiror Public Warrant, and one Acquiror Right in accordance with the terms of the applicable Acquiror Unit, which underlying Acquiror Securities shall be converted in accordance with the applicable terms of this Section 2.4 below.

• At the Closing, each then issued and outstanding unit of Acquiror, which consists of Acquiror Class A Ordinary Share and one-half of one Existing Acquiror Public Warrant, shall, to the extent not already split by the holder thereof, be separated and convert automatically into one share of Acquiror Common Stock and one-half of one Domesticated Acquiror Public Warrant.

Acquiror Public Warrant means “Public Warrants”, as defined in the most recent Acquiror SEC Reports prior to this Agreement.

Acquiror Public Warrant means any Acquiror Warrant other than an Acquiror Private Placement Warrant.

Acquiror Public Warrant means warrants to purchase one-half (1/2) of one share of Acquiror Common Stock issued to purchasers of Acquiror Units in connection with its initial public offering, as set forth in the Acquiror SEC Reports. As Acquiror will not issue fractional shares, Acquiror Public Warrants must be exercised in multiples of two warrants.

Acquiror Public Warrant means each whole warrant exercisable for one-half (1/2) of a share of Acquiror Common Stock outstanding as of the date hereof and issued pursuant to the Warrant Agreement.
