Private Warrants definition

Private Warrants shall have the meaning given in the Recitals hereto.
Private Warrants means the Warrants the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.
Private Warrants means the warrants purchased in the private placement taking place simultaneously with the consummation of the Company’s IPO; (vi) “Registration Statement” means the registration statement on Form S-1 filed by the Company with respect to the IPO; and (vii) “Trust Fund” shall mean the trust fund into which a portion of the net proceeds of the Company’s IPO will be deposited.

  • The Company has entered into a warrant agreement with respect to the Public Warrants, Private Warrants and any other warrants that may be issued by the Company substantially in the form filed as an exhibit to the Registration Statement (the “Warrant Agreement”).

More Definitions of Private Warrants

Private Warrants means the warrants included in the Private Units.
Private Warrants means the warrants held by the Sponsor that were issued to the Sponsor at the closing of the DPCM IPO, each of which was exercisable, at an exercise price of $11.50, for one share of DPCM Class A Common Stock, in accordance with its terms, prior to the consummation of the Transaction.
