ABI Parties means ABI, its Affiliates, permitted assignees and any ----------- party (if any) licensed or approved by ABI to use, market, distribute, import, export, sell or offer to sell the Product with the exception of the APP Parties.

• This Agreement constitutes and contains the entire and only existing and binding agreement between the ABI Parties and Health concerning the subject matter hereof, and supercedes all prior and contemporaneous negotiations, agreements, proposed agreements and understandings, if any, between the parties concerning this Agreement or any of its provisions.

• Each ABI Parties Service provided by the ABI Parties or their Subsidiaries shall be charged to and payable by Health at the fees for such Service determined in accordance with Exhibit A.

• Health or its Subsidiaries shall use commercially reasonable efforts to provide, or cause to be provided to, the ABI Parties and their Subsidiaries each of the Health Services in a manner consistent with the manner in which such Health Services were provided by ABI and its Subsidiaries prior to the Effective Time and consistent with Health and its Subsidiaries’ provision of such Services for their own business.

• The ABI Parties or their Subsidiaries shall use commercially reasonable efforts to provide, or cause to be provided to, Health and its Subsidiaries each of the ABI Parties Services in a manner consistent with the manner in which such ABI Parties Services were provided by ABI and its Subsidiaries prior to the Effective Date and consistent with ABI and its Subsidiaries’ provision of such Services for their own businesses.

• This Agreement and all of its provisions shall be binding upon and inure to the benefit of the respective successors and permitted assigns of the parties hereto, provided, however, neither the ABI Parties nor Health may assign or transfer any of its rights or obligations under this Agreement without the prior written consent of the other party.

• APP will exclusively order and purchase all Chemical Ingredients used by APP to manufacture the Product for itself or for the ABI Parties from those sources.

• Except as otherwise provided on Exhibit A, the ABI Parties Services shall be provided until such date as this Agreement specifies or, with regards to any specific ABI Parties Service, such specific ABI Parties Service is terminated in accordance with the terms of Article VI.

• Any provision of this Agreement may be amended or waived if, and only if, such amendment or waiver is in writing and signed, in the case of an amendment, by Health and the ABI Parties, or in the case of a waiver, by the party against whom the waiver is to be effective.

• ABI shall give APP written notice no later than 18 months before the ABI Parties contemplate selling the Product outside North America.

• APP shall order, but ABI shall pay for, all Chemical Ingredients for Product for commercial sale by ABI Parties.
