In any case, the number of outstanding shares of Common Stock shall be determined after giving effect to the conversion or exercise of securities of the Company, including this Warrant, by the Holder or its Affiliates or Attribution Parties since the date as of which such number of outstanding shares of Common Stock was reported.
No supplement, modification or amendment of this Agreement will be binding unless executed in writing by both of the Parties.
The Parties agree that all “work product” and/or other materials created and developed by Employee in connection with the performance of the Duties, together with any resulting intellectual property rights in any way relating thereto, are the sole and exclusive property of Employer.
