The Trustee shall take over the Transaction Security as trustee on behalf of the Noteholders, administer the Transaction Security in accordance with the terms of the Intercreditor Agreement and these Terms and Conditions and, in case the respective preconditions are fulfilled, release or enforce the Transaction Security for the account of the Noteholders. The rights and obligations of the Trustee in respect of the Transaction Security are governed by the Intercreditor Agreement to which the Noteholders’ Representative (as defined below) is a party. The Issuer appoints in accordance with the Security Trust Agreement, which is attached to these Terms and Conditions TAP Treuhand- und Verwaltungs GmbH, Munich, registered with the commercial reg- ister at the local court of Munich under HRB 187997, as trustee (the "Trustee") who shall, subject to the provisions of the Security Trust Agreement (Treuhandver- trag), take over the Pledge pursuant to § 2(d) on behalf of the Noteholders subject to the terms of the Security Trust Agreement and these Terms and Conditions, administer the security and, in case the respective pre- conditions are fulfilled, release or enforce the security. By way of subscription of the Notes, each Noteholder explicitly agrees (also for his heirs and legal successors) with the conclusion of the Security Trust Agree- ment and the appointment of the Trustee and each Noteholder (also for his heirs and legal successors) irrevocably grants power of at- torney to, and empowers the Trustee to ex- ercise the rights under the Guarantee. The Notesholders are obliged to observe the lim- itations set forth in the Trust Agreement.
