Work for Self or Others. If I am a full-time employee, OR SHAREHOLDER of the Company, I shall devote all of my working time solely to the Company. I may, however, hold other jobs that do not interfere with my duties to the Company and that do not concern the Company’s present or future businesses, if approved by the Chief Executive Officer and Chief Operating Officer. I may also be self- employed if my self-employment does not interfere with my duties to the Company and does not concern the Company’s present or future business if approved by the Chief Executive Officer and the Chief Operating Officer. I shall disclose all of my other business activities to the Company in writing before undertaking them. If I am a part-time employee or an independent contractor for the Company, I shall not hold other jobs or accept other engagements that interfere with my obligations to the Company or that concern the Company’s present or presently contemplated businesses. No business activity I undertake will be deemed to violate this Agreement if I have received the Company’s written permission to pursue the activity. The Company shall not withhold permission unreasonably.

  • VACANCIES AND PROMOTIONS Section 1. The following procedures will be followed in the posting and filling of vacant or newly created permanent positions. The purpose of this system is to inform employees of vacancies and newly created positions and to afford employees, who are interested and who feel they qualify, an equal opportunity to apply for the vacant or newly created position. It is understood that newly hired employees and employees on a leave of absence for any reason may not have the same period of notice as other employees concerning position vacancies.

  • Reporting of Abuse, Neglect, or Exploitation Consistent with provisions of 33 V.S.A. §4913(a) and §6903, any agent or employee of a Contractor who, in the performance of services connected with this agreement, has contact with clients or is a caregiver and who has reasonable cause to believe that a child or vulnerable adult has been abused or neglected as defined in Chapter 49 or abused, neglected, or exploited as defined in Chapter 69 of Title 33 V.S.A. shall make a report involving children to the Commissioner of the Department for Children and Families within 24 hours or a report involving vulnerable adults to the Division of Licensing and Protection at the Department of Disabilities, Aging, and Independent Living within 48 hours. This requirement applies except in those instances where particular roles and functions are exempt from reporting under state and federal law. Reports involving children shall contain the information required by 33 V.S.A. §4914. Reports involving vulnerable adults shall contain the information required by 33 V.S.A. §6904. The Contractor will ensure that its agents or employees receive training on the reporting of abuse or neglect to children and abuse, neglect or exploitation of vulnerable adults.

  • CHANGING OR TERMINATING AUTHORIZED USERS Upon your request, we may issue additional cards for authorized users that you designate. You must notify us in writing of any termination of an authorized user's right to access your account. Your letter must include the name of the authorized user and your account number and/or any subaccount number issued to the authorized user along with the authorized user's card and any convenience or other access checks issued to the authorized user. If you cannot return the authorized user's card or access checks and if you request your account to be closed, we will close your account and you may apply for a new account.

  • COORDINATION WITH OTHER CONTRACTORS Contractor expressly acknowledges and agrees that other contractors may be performing work on other projects at the Site, while the Work is taking place, in which event Contractor shall fully cooperate with District and other contractors while performing the Work, at no additional cost to District.

  • TRANSFERS AND PROMOTIONS Section 1. Notices of lateral transfer opportunities shall be posted for at least five (5) days on division bulletin boards and in branch offices. If an employee desires to transfer, he/she must submit a written request to Human Resources.

  • Interaction with Other Leaves Paid parental leave will run concurrently with any unpaid leave(s) that parents may be entitled to under other provisions of this Agreement or provided by law. Employees shall not receive other types of paid leave provided by this Agreement (e.g., sick, vacation, compensatory time) for hours for which they are receiving PPL.

  • Contractor Designation of Trade Secrets or Otherwise Confidential Information If the Contractor considers any portion of materials to be trade secret under section 688.002 or 812.081, F.S., or otherwise confidential under Florida or federal law, the Contractor must clearly designate that portion of the materials as trade secret or otherwise confidential when submitted to the Department. The Contractor will be responsible for responding to and resolving all claims for access to Contract-related materials it has designated trade secret or otherwise confidential.

  • VACANCIES, TRANSFERS AND PROMOTIONS A. A vacancy shall be defined as a newly-created position or a present position that is not filled.

  • CALCULATIONS TO BE MADE BY THIRD PARTY All calculations under this Agreement shall be made annually by an independent third party (the “Third Party”) selected and appointed each year by the District, subject to approval by Applicant in writing, which approval shall not unreasonably be withheld.

  • Breach by Authorized User An Authorized User’s breach shall not be deemed a breach of the Centralized Contract; rather, it shall be deemed a breach of the Authorized User’s performance under the terms and conditions of the Centralized Contract.
