Violation of Transfer Restrictions. Notwithstanding anything herein to the contrary, Abbott shall not Transfer any Shares unless such Transfer is made in accordance with applicable securities laws. Any attempt to Transfer any Shares in violation of the terms of this Agreement shall be null and void, and neither Boston Scientific nor any transfer agent shall register upon its books any Transfer of Shares by Abbott to any Person except a Transfer in accordance with this Agreement.
Violation of Transfer Restrictions. Any attempt to Transfer any GM Locked Securities or any GMHL Locked Securities in violation of Section 2 will be null and void ab initio.
Violation of Transfer Restrictions. To the fullest extent permitted by law, any Transfer that violates Sections 14.01 or 14.02 shall be null and void, regardless of any notice provided to the Partnership and will not create any obligation or liability of the Partnership to the purported transferee and any Person purportedly acquiring any Common Units or any economic interest therein purportedly Transferred not in compliance with Sections 14.01 or 14.02 shall not be a Common Unitholder. In the case of an attempted Transfer of Common Units or any economic benefit therein that is not in compliance with Sections 14.01 or 14.02, the parties engaging or attempting to engage in such Transfer shall indemnify and hold harmless the Partnership, the General Partner, the Board of Directors, the Manager and the other Common Unitholders from all cost, liability and damage that any of such indemnified persons may incur (including without limitation, incremental tax liability and attorneys’ fees and expenses) as a result of such Transfer or attempted Transfer and the enforcement of the indemnity. If, notwithstanding the restrictions set forth in this Article XIV, the Partnership determines that any Common Units have been transferred in violation of this Article XIV, the Partnership may require, by notice to the holder of the Common Units so transferred, that such holder sell all of its interest in the Common Units, within 30 calendar days after the Partnership gives such notice, to a transferee that does not violate any of the provisions of this Article XIV. If the holder fails to transfer the Common Units within such 30-day period, the Partnership shall have the right to transfer the holder’s interest in the Common Units in a commercially reasonable sale on behalf of and at the expense of the holder, to a transferee that does not violate any of the provisions of this Article XIV.
Violation of Transfer Restrictions. Any purported Transfer in violation of the provisions of this Agreement shall be void ab initio. In the event ofthe death of a Mernber or if the Company is required by Law to recognize a Transfer in violation of the provisions of this Agreement (or if the Board of Managers, in its sole discretion, elect to recognize a Transfer that is in violation of Section 10.1), the Transferred Units shall be strictly limited to the Transferor’s rights to allocations and distributions as provided by this Agreement with respect to the Transferred Units, which allocatioris arid distributions may be applied (without limiting any other legal or equitable rights ofthe Company) to satisfy any Damages suffered or incurred by the Company or any other Mernber arising out of or relatirig to such Transfer. In the case of a Transfer or attempted Transfer in violation of the terms of this Agreement, the Persons that make or attempt to make such Transfer shall jointly arid severally indemnify arid hold harmless the Company arid the other Members from all Damages that the Company or any of such other Members may incur or suffer (including increiriental tax liabilities and loss of tax benefits) as a result of such Transfer or atternpted Transfer and efforts to enforce the indemnity granted hereby.

  • Removal of Transfer Restrictions Without limiting the generality of any other provision of this Indenture (including Section 3.04), the Restricted Note Legend affixed to any Note will be deemed, pursuant to this Section 2.12 and the footnote to such Restricted Note Legend, to be removed therefrom upon the Company’s delivery to the Trustee of notice, signed on behalf of the Company by one (1) of its Officers, to such effect (and, for the avoidance of doubt, such notice need not be accompanied by an Officer’s Certificate or an Opinion of Counsel in order to be effective to cause such Restricted Note Legend to be deemed to be removed from such Note). If such Note bears a “restricted” CUSIP or ISIN number at the time of such delivery, then, upon such delivery, such Note will be deemed, pursuant to this Section 2.12 and the footnotes to the CUSIP and ISIN numbers set forth on the face of the certificate representing such Note, to thereafter bear the “unrestricted” CUSIP and ISIN numbers identified in such footnotes; provided, however, that if such Note is a Global Note and the Depositary thereof requires a mandatory exchange or other procedure to cause such Global Note to be identified by “unrestricted” CUSIP and ISIN numbers in the facilities of such Depositary, then (i) the Company will effect such exchange or procedure as soon as reasonably practicable; and (ii) for purposes of Section 3.04 and the definition of Freely Tradable, such Global Note will not be deemed to be identified by “unrestricted” CUSIP and ISIN numbers until such time as such exchange or procedure is effected.

  • Securities Law Transfer Restrictions By taking and holding this Warrant, the Holder (i) acknowledges that neither this Warrant nor any shares of Common Stock that may be issued upon exercise of this Warrant have been registered under the Securities Act or any applicable state securities or blue sky law (collectively, "Securities Laws"); (ii) agrees not to sell, transfer or otherwise dispose of this Warrant, and agrees not to sell, transfer or otherwise dispose of any such shares of Common Stock without registration unless the sale, transfer or disposition of such shares can be effected without registration and in compliance with the Securities Laws; and (iii) agrees not to sell, transfer or otherwise dispose of this Warrant or any portion thereof or interest therein except as otherwise expressly permitted herein. No part of this Warrant or any portion thereof or interest therein may be transferred, whether voluntarily, involuntarily or by operation of law, except to a Permitted Transferee as hereinafter defined. “Permitted Transferee” shall mean a transferee or assignee that (a)(i) is an entity as to which the Holder is the beneficial owner of at least a majority of the equity therein and the Holder has voting control thereover, (ii) is a member of the Holder's family or a trust for the benefit of an individual Holder or (iii) a successor by inheritance or intestate succession to any interest in this Warrant or any portion thereof and (b) accepts by written instrument reasonably acceptable to the Company each of the terms and conditions that govern this Warrant. Any certificate for shares of Common Stock issued upon exercise of this Warrant shall bear an appropriate legend describing the foregoing restrictions, unless such shares of Common Stock have been effectively registered under the applicable Securities Laws.

  • Exchange and Registration of Transfer of Notes; Restrictions on Transfer; Depositary (a) The Company shall cause to be kept at the Corporate Trust Office a register (the register maintained in such office or in any other office or agency of the Company designated pursuant to Section 4.02, the “Note Register”) in which, subject to such reasonable regulations as it may prescribe, the Company shall provide for the registration of Notes and of transfers of Notes. Such register shall be in written form or in any form capable of being converted into written form within a reasonable period of time. The Trustee is hereby initially appointed the “Note Registrar” for the purpose of registering Notes and transfers of Notes as herein provided. The Company may appoint one or more co-Note Registrars in accordance with Section 4.02. Upon surrender for registration of transfer of any Note to the Note Registrar or any co-Note Registrar, and satisfaction of the requirements for such transfer set forth in this Section 2.05, the Company shall execute, and the Trustee shall authenticate and deliver, in the name of the designated transferee or transferees, one or more new Notes of any authorized denominations and of a like aggregate principal amount and bearing such restrictive legends as may be required by this Indenture. Notes may be exchanged for other Notes of any authorized denominations and of a like aggregate principal amount, upon surrender of the Notes to be exchanged at any such office or agency maintained by the Company pursuant to Section 4.02. Whenever any Notes are so surrendered for exchange, the Company shall execute, and the Trustee shall authenticate and deliver, the Notes that the Holder making the exchange is entitled to receive, bearing registration numbers not contemporaneously outstanding. All Notes presented or surrendered for registration of transfer or for exchange, repurchase or conversion shall (if so required by the Company, the Trustee, the Note Registrar or any co-Note Registrar) be duly endorsed, or be accompanied by a written instrument or instruments of transfer in form satisfactory to the Company and duly executed, by the Holder thereof or its attorney-in-fact duly authorized in writing. No service charge shall be imposed by the Company, the Trustee, the Note Registrar, any co-Note Registrar or the Paying Agent for any exchange or registration of transfer of Notes, but the Company may require a Holder to pay a sum sufficient to cover any documentary, stamp or similar issue or transfer tax required in connection therewith as a result of the name of the Holder of new Notes issued upon such exchange or registration of transfer being different from the name of the Holder of the old Notes surrendered for exchange or registration of transfer. None of the Company, the Trustee, the Note Registrar or any co-Note Registrar shall be required to exchange or register a transfer of (i) any Notes surrendered for conversion or, if a portion of any Note is surrendered for conversion, such portion thereof surrendered for conversion or (ii) any Notes, or a portion of any Note, surrendered for repurchase (and not withdrawn) in accordance with Article 15. All Notes issued upon any registration of transfer or exchange of Notes in accordance with this Indenture shall be the valid obligations of the Company, evidencing the same debt, and entitled to the same benefits under this Indenture as the Notes surrendered upon such registration of transfer or exchange.

  • Transfer Restriction No Unreleased Shares or any interest or right therein or part thereof shall be liable for the debts, contracts or engagements of the Participant or his successors in interest or shall be subject to disposition by transfer, alienation, anticipation, pledge, encumbrance, assignment or any other means whether such disposition be voluntary or involuntary or by operation of law by judgment, levy, attachment, garnishment or any other legal or equitable proceedings (including bankruptcy), and any attempted disposition thereof shall be null and void and of no effect.
