Vacation and Sick Pay Liabilities. Effective as of the Closing Date, Constar shall assume all Liabilities for vacation, sick leave and other paid time off in respect of all Active Constar Employees (and Former Constar Employees, if applicable) as of the Closing Date.
Vacation and Sick Pay Liabilities. On and after the Closing Date, ILG shall provide the Vistana Employees with the same vested and unvested balances of vacation and sick leave as credited to the Vistana Employees on Starwood’s or its Affiliate’s payroll system immediately prior to the Closing Date. On and after the Closing Date, ILG shall continue to accrue vacation and sick leave in respect of each Vistana Employee according to Starwood’s accrual schedule as in effect immediately prior to the Closing Date.
Vacation and Sick Pay Liabilities. The New BBX Capital Employees on and after the Effective Time will have the same vested and unvested balances of vacation and sick leave as credited to the New BBX Capital Employees on Parent’s or its Affiliate’s payroll system immediately prior to the Effective Time and (ii) New BBX Capital or the New BBX Entity which is the employer of the Employee shall continue to accrue vacation and sick leave in effect immediately prior to the Effective Time.

On and after the Business Transfer Time, SpinCo shall provide the SpinCo Employees with the same vested and unvested balances of vacation and sick leave as credited to the SpinCo Employees on Cogint’s or its Affiliate’s payroll system immediately prior to the Business Transfer Time. On and after the Business Transfer Time, SpinCo shall continue to accrue vacation and sick leave in respect of each SpinCo Employee according to Cogint’s accrual schedule as in effect immediately prior to the Business Transfer Time.
Vacation and Sick Pay Liabilities. Notwithstanding the provisions of Section 2.07 of the Employee Matters Agreement to the contrary, on and after the Closing Date, accrual of vacation and sick leave in respect of each Vistana Employee working in California, shall be according to an accrual schedule that is substantially similar to Starwood’s accrual schedule as in effect immediately prior to the Closing Date, rather than one which is identical.

(a) Effective on the Distribution Date, Bio-Vascular shall retain, as to the Bio-Vascular Employees, and, Vital Images shall assume, as to the Vital Images Employees, all accrued liabilities (whether vested or unvested, and whether funded or unfunded) for vacation and sick leave in respect of such employees as of the Cutoff Date. Bio-Vascular shall be solely responsible for the payment of such vacation or sick leave to Bio-Vascular Employees after the Cutoff Date and Vital Images shall be solely responsible for the payment of such vacation or sick leave to Vital Images Employees after the Cutoff Date. Each party shall provide to its own Employees on the Distribution Date the same vested and unvested balances of vacation and sick leave as credited to such Employee on the Bio-Vascular payroll systems on the Cutoff Date. The preceding sentence shall not be construed as in any way limiting the right of either Bio-Vascular or Vital Images to change its vacation or sick leave policies as it deems appropriate.

Hi/fn shall retain or assume all accrued liabilities (whether vested or unvested, and whether funded or unfunded) for vacation and sick leave in respect of all Hi/fn Employees as of the Distribution Date. Hi/fn shall be solely responsible for the payment to Hi/fn Employees of vacation or sick leave accrued after the Distribution Date, and Stac shall be solely responsible for the payment to Stac Employees of vacation or sick leave accrued after the Distribution Date.
Vacation and Sick Pay Liabilities. Effective Immediately --------------------------------- after the Distribution Date, SPI shall assume all accrued Liabilities for vacation and sick leave in respect of all Transferred Employees as of the Distribution Date.

Effective on the Distribution Date, Epitope shall retain, as to Epitope Employees, and Agritope shall assume or retain, as the case may be, as to Agritope Employees, all liabilities (whether vested or unvested, and whether funded or unfunded) for vacation and sick leave accrued as of the Distribution Date. Agritope shall be solely responsible for the payment of such vacation or sick leave to Agritope Employees after the Distribution Date. Each of Epitope and Agritope shall provide to its own Employees on the Distribution Date the same vested and unvested balances of vacation and sick leave as credited to such Employee on the Epitope payroll systems as of the Distribution Date. Nothing in this Agreement shall be construed to limit the right of either Epitope or Agritope to change its vacation or sick leave policies as it deems appropriate.
