Type II Licensed Product Rate. Licensee shall pay Harvard an amount equal to [***] of Net Sales of Type II Licensed Products on a country-by-country basis for a period of [***] from the date of the First Commercial Sale of such Licensed Product in such country (each, a “Type II Royalty Period”). For clarity, the Parties hereby agree that if a Licensed Product ceases to be a Type I Licensed Product in such country due to expiration of Patent Rights prior to the end of the [***] period following First Commercial Sale of such Licensed Product in such country, such Licensed Product shall thereafter be subject to the royalty terms set forth in this Section 4.5.2 regarding Type II Licensed Products, and Licensee will pay Harvard royalties on Net Sales of such Licensed Product in accordance with this Section 4.5.2, until the expiration of the applicable [***] period, measured as [***] from the date of the First Commercial Sale of such Licensed Product in such country.

To the extent that any SUBLICENSE INCOME relates to a COMBINATION PRODUCT or is otherwise calculated based on the value of one or more licenses or intellectual property rights held by the COMPANY, an AFFILIATE or SUBLICENSEE, COMPANY shall determine in good faith and report to THE PARTIES the share of such payments reasonably attributable to COMPANY’s or such AFFILIATE’s sublicense of the rights granted hereunder, based upon their relative importance and proprietary protection, which portion shall be the SUBLICENSE INCOME.
