Translation Opinions. The Company shall cause Lxxxxxxx Rxxxxxxxxx LLP to deliver to the Underwriters opinions, dated the date of the filing of the French language versions of each of the Canadian Base PREP Prospectus and the Canadian Prospectus, to the effect that the French language version of each such prospectus, together with each document incorporated therein by reference (other than the financial statements and other financial data contained therein), is in all material respects a complete and proper translation of the English language versions thereof.

Translation Opinions. The Company shall cause Fasken Mxxxxxxxx DxXxxxxx LLP to deliver to the Underwriters and the Sub-underwriters customary opinions, dated the date of the filing of the French language versions of each of the Final PREP Prospectus and the Supplemental PREP Prospectus, to the effect that the French language version of each such prospectus (other than the financial statements and other financial data contained therein) is in all material respects a complete and proper translation of the English language versions thereof. The Company shall cause Fasken Mxxxxxxxx DuMoulin LLP to deliver to the Underwriters and the Sub-underwriters similar opinions as to the French language translation of any information contained in any Supplementary Material, in form and substance satisfactory to the Underwriters and the Sub-underwriters, prior to the filing thereof with the Qualifying Authorities.
Translation Opinions. 8.1 The Issuer will deliver to the Underwriters, prior to the time that the Preliminary Prospectus and Final Prospectus in the French language is filed with the Securities Commissions and printed, opinions of counsel in the Province of Quebec dated the date of the Preliminary Prospectus or Final Prospectus, as applicable, in form and substance satisfactory to the Underwriters, acting reasonably, addressed to the Underwriters, Underwriters’ counsel, the boards of directors of the Issuer and to the Issuer’s counsel to the effect that the Preliminary Prospectus (but excluding, for greater certainty, the documents incorporated by reference therein) or Final Prospectus, as applicable, in the French language (other than the Financial Statements and the Financial Information) is in all material respects a complete and proper translation of the Preliminary Prospectus or Final Prospectus, as applicable, in the English language and is not susceptible to any materially different interpretation with respect to any material matter contained therein.

Translation Opinions. On or prior to the date that the first Designated Units are sold and within 3 Trading Days after each Representation Date with respect to which the Trust is obligated to deliver a certificate in the form attached hereto as Exhibit A for which no waiver is applicable, the Underwriters shall have received a written legal opinion from the Trust’s legal counsel in the Province of Québec addressed to the Underwriters and their counsel and in form and substance acceptable to counsel to the Underwriters to the effect that the Trust has complied with all the laws of the Province of Québec relating to the use of the French language in connection with the Prospectus, any Supplementary Material and the sale of the Designated Units to purchasers in the Province of Québec, and that except for any Financial Information contained in or incorporated by reference therein, each of such Prospectus or Shelf Prospectus Supplement, as the case may be, and the information incorporated by reference therein, in the French language is in all material respects a complete and proper translation of the English language version thereof and an opinion of the Trust and the Corporation’s auditors at the same time or times and substantially to the same effect, in respect of the Financial Information. In the case of any Representation Date on which the Trust files its annual report on Form 40-F, the Trust shall cause to be furnished to the Underwriters the opinions of (i) Quebec counsel to the Trust and the Corporation and (ii) the Trust and the Corporation’s auditors referred to above, before the Trust next delivers a Placement Notice.

The Company shall cause Osler Hoskin & Harcourt LLP to deliver to the Underwriters and the Sub-xxxxxxxxxxx similar opinions as to the French language translation of any information contained in any amendments or supplements to the Base PREP Prospectus or the Supplemented PREP Prospectus, in form and substance satisfactory to the Underwriters and the Sub-underwriter, prior to the filing thereof with the Reviewing Authority.
