If Sub-Adviser would not otherwise obtain a Legal Opinion, RIM may, in its sole discretion, determine that Sub-Adviser may provide an independent legal memorandum in lieu of the Legal Opinion.
The written notice required by the preceding paragraph shall be provided at least 90 days in advance of the ownership change to enable RIM to review the Legal Opinion or legal memorandum and, if required, take the steps necessary to consider a new Contract with Money Manager, including seeking the approval of the Board at a regularly scheduled quarterly in-person meeting, and create, file and deliver a supplement to its Disclosure Documents.
