Canadian Preliminary Prospectus means the Initial Canadian Preliminary Prospectus, as amended by the Amended and Restated Canadian Preliminary Prospectus, including the Documents Incorporated by Reference;

Canadian Preliminary Prospectus has the meaning set forth in Section 1(a) hereof.

• For purposes of this Agreement, all references to the Canadian Preliminary Base Prospectus, the Canadian Base Prospectus, the Canadian Preliminary Prospectus or the Canadian Final Prospectus, or any amendment or supplement to any of the foregoing (including any Supplementary Material), shall include the copy filed with the Qualifying Authorities pursuant to the System for Electronic Document Analysis and Retrieval (“SEDAR”).

• Each of (i) the Canadian Preliminary Prospectus and the Canadian Final Prospectus shall have been filed with the Qualifying Authorities under the Shelf Procedures, and (iii) the U.S. Preliminary Prospectus and the U.S. Final Prospectus shall have been filed with the Commission in accordance with General Instruction II.L. of Form F-10, in each case, within the time period prescribed for such filing, as applicable.

Canadian Preliminary Prospectus means a preliminary prospectus of the Corporation in respect of Registrable Securities which has been filed with and a receipt issued therefor by the applicable Canadian Securities Authorities, including without limitation all amendments thereto and all material incorporated by reference therein, and includes a preliminary short form prospectus.

Canadian Preliminary Prospectus means an amended and restated preliminary short form prospectus of the Corporation (in both the English and French language versions thereof, unless the context otherwise
