Trade Shows, Expositions and Other Sales Forums. Business Partners may display Kyäni products at trade shows and professional expositions. Before submitting a deposit to the event promoter, Business Partners must contact the Business Partner Services Department in writing for conditional approval, as Xxxxx's policy is to authorize only one Kyäni business per event. Final approval will be granted to the first Business Partner who submits an official advertisement of the event, a copy of the contract signed by both the Business Partner and the event official, and a receipt indicating that a deposit for the booth has been paid. Approval is given only for the event specified. Any requests to participate in future events must again be submitted to the Business Partner Services Department. In order to preserve its valuable brand, Kyäni further reserves the right to refuse authorization to participate at any function which it does not deem a suitable forum for the promotion of its products or the Kyäni opportunity. Approval will not be given for swap meets, garage sales, flea markets or xxxxxx'x markets as these events are not conducive to the professional image Xxxxx wishes to portray.

Trade Shows, Expositions and Other Sales Forums. Members may promote the Company Website and Rewards Plan at trade shows and professional expositions; however, before submitting a deposit to the event promoter, Members must contact the Member Care Department in writing for conditional approval. The Company further reserves the right to require use of an approved booth and/or display and to refuse authorization to participate at any function which it does not deem a suitable forum for the promotion of the Company.

Trade Shows, Expositions and Other Sales Forums. IBDs may display and/or sell The Company products at trade shows and professional expositions in Malaysia or any other part of the world where the IBD has its presence. The Company policy is to authorize only one business (1 IBD) per event. Company recommends registering under the name “Phytoscience Independent Business distributor” and inquiring if there are any other registrants using that name. The Company further reserves the right to refuse authorization to participate at any function which it does not deem a suitable forum for the promotion of its products, services, or the Company opportunity. No IBD may sell or promote the Company's products or business opportunity at swap meets, garage sales, flea markets or farmers’ markets, haat or village markets as these events are not conducive to the professional image that the company wishes to portray. When attending an event, you must adhere to the following policies relative to participation in temporary sales forums:

  • Corrective and Other Allocations In the event of any allocation of Additional Book Basis Derivative Items or any Book-Down Event or any recognition of a Net Termination Loss, the following rules shall apply:

  • Improper and Other Payments (a) Neither the Company, any director, officer, employee thereof, nor any agent or representative of the Company nor any person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any person or authority, (b) no contributions have been made, directly or indirectly, by the Company to a domestic or foreign political party or candidate; and (c) the internal accounting controls of the Company are believed by the Company’s management to be adequate to detect any of the foregoing under current circumstances.

  • Regulatory and Other Matters (a) The parties shall, and shall cause their respective Subsidiaries to, cooperate with each other and use their respective commercially reasonable efforts to promptly prepare and file all necessary documentation, to effect all applications, notices, petitions and filings with any Third Party or Governmental Entity and to take any further actions reasonably requested by the other party to obtain as promptly as practicable the Required Approvals and other consents required to be obtained in connection with the Merger and the other transactions contemplated by this Agreement. MCC and SIC shall have the right to review in advance, and, to the extent practicable, each will consult with the other on, in each case subject to Applicable Laws relating to the confidentiality of information, all information relating to MCC or SIC, as the case may be, and any of their respective Subsidiaries, that appear in any filing made with, or written materials submitted to, any Third Party or any Governmental Entity in connection with obtaining the Required Approvals. In exercising the foregoing right, each of the parties shall act reasonably and as promptly as reasonably practicable. The parties shall consult with each other with respect to the obtaining of the Required Approvals and each party will keep the other apprised of the status of matters relating to completion of the transactions contemplated by this Agreement. 45

  • Royalties and Other Payments A. For the rights, privileges and exclusive license granted hereunder, Licensee shall pay to CMCC the following amounts in the manner hereinafter provided.
