Termination of Emergency. Upon the termination of the emergency, grievances filed prior to the emergency shall be processed in accordance with the provisions outlined in the grievance procedure of this Contract and shall proceed from the point in the grievance procedure to which the grievance(s) had properly progressed prior to the emergency.

Loan Facility; Revision of December 28, 1995 Promissory Note Pursuant to the provisions of Section 13.1 of the 1991 Joint Venture Agreement, Paragon, on or about November 2, 1995, requested emergency loan assistance from Chalone in the amount of Five Hundred Thousand Dollars ($500,000). Chalone granted this request and on or about December 28, 1995, loaned Paragon this sum. The loan is evidenced by Paragon's Promissory Note in the amount of $500,000, dated December 28, 1995, a copy of which is attached hereto as Exhibit E-1. The obligations of Paragon pursuant to said Promissory Note are secured by that certain Pledge Agreement, dated December 28, 1995, a copy of which is attached hereto as Exhibit E-2. Paragon shall have no right to make a further request of Chalone for emergency loan assistance from and after the date of this Amendment."
