Substantial Customers and Suppliers. Schedule 3.25 lists the ten (10) largest customers of the Company and its Subsidiaries, on the basis of revenues for goods sold or services provided for the most recently-completed fiscal year. Schedule 3.25 lists the five (5) largest suppliers of the Company and its Subsidiaries, on the basis of cost of goods or services purchased, as of December 31, 1997. Except as disclosed on Schedule 3.25, no such customer or supplier has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Company or any of its Subsidiaries since the Latest Balance Sheet date, or to the Seller's Knowledge, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof.

Except as disclosed in Section 2.24.3 of the Disclosure Schedule, to the knowledge of the Equityholders and the Company, no such customer or supplier is insolvent or threatened with bankruptcy or insolvency.

Schedule 5.1(w)(ii) lists the thirty-five (35) largest suppliers of Sellers, other than the Railroad Subsidiary, on the basis of cost of goods or services purchased for the most recent fiscal year. Except as disclosed in Schedule 5.1(w)(iii), to Sellers' Knowledge, since December 31, 2001, no such customer or supplier has ceased or materially reduced its purchases from or sales or provision of services to, or materially modified its relationship with, Sellers and has not threatened to cease or materially reduce such purchases or sales or provision of services or has any reason to terminate or modify such relationship. To Sellers' Knowledge, no such customer or supplier is threatened with bankruptcy or insolvency.
Substantial Customers and Suppliers. (a) For purposes of this Section 3.28(a), a “Material Customer” shall mean any of the twenty (20) customers of the Company and each Subsidiary, taken as a whole, with the highest attributed revenues in the financial years ended 31 January 2006 and 31 January 2007. The Disclosure Letter lists the Material Customers (whether direct or indirect) and applicable Contracts of the Company or any Subsidiary. Each of the Material Customers, related contracts and attributed revenues are not duplicative or redundant. With respect to the applicable contracts with Material Customers, so far as the Management Sellers are aware, there exists no event of default and no event has occurred which would result in any such event of default or prevent the Company or any Subsidiary from obtaining the benefit thereunder. The Company’s or any Subsidiary’s relationship with each Material Customer is good and there are no facts or circumstances known to any Management Seller, or ought reasonably to be known by any Management Seller of: (a) any dispute threatened, actual or pending between the Company, any Subsidiary and any Material Customer; or (b) any desire or plan of any Material Customer to terminate or modify such relationship.

Except as disclosed in Section 2.22(c) of the Disclosure Schedule, none of the ten (10) largest customers or suppliers has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Business from the date of the Acquisition Balance Sheet to the date of this Agreement, or to the Knowledge of Seller, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof. Except as disclosed in Section 2.22(d) of the Disclosure Schedule, to the Knowledge of Seller, none of the ten (10) largest customers or suppliers is threatened with bankruptcy or insolvency.

Schedule 3.16 hereto also sets forth a true and complete list of the twenty ------------- largest customers of each IPCH and its Subsidiaries (in terms of sales) during the twelve months ended September 30, 2000 and 2001, as well as the dollar amounts of such sales during such year. Except to the extent set forth in Schedule 3.16, since September 30, 2001, no such supplier or customer ------------- has given notice of an intention to cease or reduce its sales to or purchases from IPCH.

Schedule 2.27(c) of the Seller Disclosure Schedule lists the three largest customers and suppliers of the Kendro Business (on the basis described in the first two sentences) for each of the following businesses acquired during 2004: DataCentric Automation, H+P Labortechnik and Medical Air Technology. None of the customers or suppliers listed on Schedule 2.27 of the Seller Disclosure Schedule has indicated that it will limit or alter in any material respect or terminate its business relationship with the Kendro Business as a result of the transactions contemplated by this Agreement.
