Except as disclosed in Section 2.22(c) of the Disclosure Schedule, no such customer or supplier has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Business since the Quarterly Financial Statement Date, or to the Knowledge of Seller, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof. Except as disclosed in Section 2.22(d) of the Disclosure Schedule, to the Knowledge of Seller, no such customer or supplier is threatened with bankruptcy or insolvency.

Section 2.24.2 of the Disclosure Schedule lists the ten (10) largest suppliers of the Company on the basis of cost of goods or services purchased during the twelve month period ending December 31, 2003. Except as disclosed in Section 2.24.3 of the Disclosure Schedule, to the knowledge of the Equityholders and the Company, no such customer or supplier is insolvent or threatened with bankruptcy or insolvency.

No such customer or supplier has ceased or materially reduced its purchases from or sales or provision of services to the Company or, to the knowledge of the Company, has threatened to cease or materially reduce such purchases or sales or provision of services after the date hereof. To the knowledge of the Company, no such customer or supplier is threatened with bankruptcy or insolvency.

Except as disclosed on Schedule 3.25, no such customer or supplier has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Company or any of its Subsidiaries since the Latest Balance Sheet date, or to the Seller's Knowledge, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof.

Except as disclosed in SECTION 2.25(c) OF THE DISCLOSURE SCHEDULE, no such customer or supplier has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Company and the Subsidiaries since the Audited Financial Statement Date, or to the Knowledge of Love, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof. Except as disclosed in SECTION 2.25(d) OF THE DISCLOSURE SCHEDULE, to the Knowledge of Love, no such customer or supplier is threatened with bankruptcy or insolvency.

SECTION 4.19 of the Disclosure Schedule lists the 5 largest customers or clients of the Company on the basis of revenues for goods sold or services provided in the fiscal year ended 1997 and the 10 largest customers or clients in the fiscal year ended 1998. SECTION 4.19 of the Disclosure Schedule lists the 10 largest suppliers of the Company on the basis of cost of goods or services purchased in the fiscal years ended 1996, 1997 and 1998. For each such customer or supplier set forth on such Schedule, a copy of such supplier or customer contract, agreement or understanding with the Company or Seller has been delivered to Buyer prior to execution of this Agreement. No such customer, client or supplier has ceased or materially reduced its purchases from or sales or provision of services to the Company since December 31, 1998, or to the knowledge of the Company or Seller, has threatened to cease or materially reduce such purchases or sales or provision of services after the date of this Agreement. Except for deposits or other non-material amounts paid in the ordinary course of business consistent with past practice, the Company has not accepted any prepayment of any sales price or fee or license fee from any client or customer that relates to products not yet delivered or services not yet performed by Seller.

Schedule 2.21 lists the 15 largest customers of the Company, collectively, on the basis of revenues collected or accrued for the most recent completed fiscal year. Schedule 2.21 also lists the 15 largest suppliers of the Company on the basis of cost of goods or services purchased for the most recent fiscal year ended. To the knowledge of the Company, no such customer or supplier is threatened with bankruptcy or insolvency.
Substantial Customers and Suppliers. (a) For purposes of this Section 3.27(a), a “Material Customer” shall mean any of the twenty (20) customers of the Company, taken as a whole, with the highest attributed revenues for the period of January 1, 2005 through to the Effective Date. Section 3.28(a) of the Disclosure Schedule lists the Material Customers (whether direct or indirect) and applicable contracts of the Company. Each of the Material Customers, related contracts and attributed revenues are not duplicative or redundant. With respect to the applicable contracts with Material Customers, there exists no event of default and no event has occurred which would result in any such event of default or prevent the Company from obtaining the benefit thereunder. The Company’s relationship with each Material Customer is good and there are no facts or circumstances known to either the Company or any Seller, or ought to be known by either the Company or any Seller of: (a) any dispute threatened, actual or pending between the Company and any Material Customer; or (b) any desire or plan of any Material Customer to terminate or modify such relationship.

Except as disclosed in Section 2.19(c) of the Disclosure Schedule, no such customer or supplier has ceased or materially reduced its purchases from or sales or provision of services to the Company since the Audited Financial Statement Date, or to the knowledge of the Company , has threatened to cease or materially reduce such purchases or sales or provision of services after the date hereof. Except as disclosed in Section 2.24(d) of the Disclosure Schedule, to the knowledge of the Company , no such customer or supplier is threatened with bankruptcy or insolvency.
