Supplementary Warranties. In addition to those set out in the Facility Agreement, Party A shall make the following supplementary warranties to Party B in connection with the handling of the operation hereunder: Party A warrants that the sales proceeds of the goods under the domestic L/C will first be applied towards the repayment of the financing provided by Party B to Party A.

Supplementary Warranties. In addition to those set out in the Facility Agreement, Party A shall make the following supplementary warranties to Party B in connection with the handling of the operation hereunder: Party A warrants that the sales proceeds of the import goods will first be applied towards the repayment of the financing provided by Party B to Party A. When dealing with the import goods hereunder, Party A shall prudently and diligently exercise the duty of care. The contract dealing with the goods shall require the buyer of the goods to directly transfer the contract price of the goods to the account of Party B, which contract price shall be applied towards repayment of the principal, interest and other costs of the financing hereunder.
Supplementary Warranties. 1. The Seller, or Take-Two (if the Consideration Shares are allotted to Take-Two, at the Seller's request) is acquiring the Consideration Shares for investment purposes for its own account and not with a view to any resale, distribution or other disposition thereof.

There has not been any default by any party or dispute between TROVAGENE and any party under the Exclusive License Agreement, (v) as of the Effective Date, it has no actual knowledge of any conflict of any kind with any inventor(s) listed or any of the owner of the Patent Rights, which may restrict it from entering into this Agreement, granting the rights or fulfilling its obligations hereunder, (vi) as of the Effective Date, the Patent Rights are in good standing and have not lapsed for failing to meet a deadline and they have diligently been prosecuted and maintained, (vii) as of the Effective Date no person has challenged by way of a notice in writing the validity of any claim comprised within the Patent Rights, and (viii) as of the Effective Date there are no judicial, arbitral, regulatory or administrative proceedings or investigations, claims, actions or suits relating to the inventions disclosed in the Patent or their use, making, commercialization, practice or any other exploitation thereof pending against the Original Licensors, TROVAGENE, its Affiliates or any of TROVAGENE’ sublicensees in any court or by or before any governmental body or agency and, to the best of TROVAGENE’ knowledge, no such judicial, arbitral, regulatory or administrative proceedings or investigations, actions or suits have been threatened against the Original Licensors, TROVAGENE, its Affiliates or any of TROVAGENE’ sublicensees.

  • Non-Survival of Representations, Warranties, Covenants and Agreements None of the representations, warranties, covenants and agreements in this Agreement or in any instrument delivered pursuant to this Agreement, including any rights arising out of any breach of such representations, warranties, covenants and agreements, shall survive the Effective Time, except for (i) those covenants and agreements contained herein that by their terms apply or are to be performed in whole or in part after the Effective Time and (ii) this Article IX.

The Indemnifying Parties’ indemnification obligations pursuant to Section 12.2(a)(iii), Section 12.2(b)(iii), Section 12.3(a) and Section 12.3(b) hereof (other than with respect to obligations arising under Section 9.22, which shall survive the Closing until ten (10) days following the final determination of the Multiemployer Plan Liabilities under Section 9.22) and Buyer’s indemnification obligations pursuant to Section 12.3(c) hereof shall expire on the date that is eighteen (18) months from the Closing Date; provided, however, that the expiration of such indemnification obligations shall not affect an Indemnified Party or Seller Indemnified Party (with respect to their indemnification rights under Section 12.3(c)) in respect of any claim made by such party in reasonable detail in a writing received by the Indemnifying Party or Buyer, as applicable, prior to the expiration of such eighteen (18) month period (or the applicable period described above with respect to obligations arising under Section 9.22 hereof).
