SUB-ADVISORY AGREEMENT. In all other respects, the Agreement is confirmed and remains in full force and effect.
SUB-ADVISORY AGREEMENT. Notwithstanding anything herein to the contrary, this Agreement shall not be effective until the Investment Adviser and Provident deliver to the Company a duly executed copy of the Sub-Advisory Agreement in substantially the form attached as Exhibit A-1 hereto (herein called the "Sub-Advisory Agreement") pursuant to which Provident will provide the Investment Adviser with certain investment advisory services on behalf of each Portfolio. The Investment Adviser agrees to give the Company prompt written notice of any termination of or notice to terminate the Sub-Advisory Agreement by any person other than the Company.
SUB-ADVISORY AGREEMENT. The Manager may enter into a separate sub-advisory agreement with Merrxxx Xxxcx Xxxet Management U.K. Limited ("MLAM U.K.") in which the Manager may contract for sub-advisory services and pay MLAM U.K. compensation for its services out of the compensation received hereunder pursuant to Article III. Such sub-advisory agreement will be coterminous with this Management Agreement.

The Investment Adviser may enter into a separate sub-advisory agreement with Merrxxx Xxxcx Xxxet Management U.K. Limited ("MLAM U.K.") in which the Investment Adviser may contract for sub-advisory services and pay MLAM U.K. compensation for its services out of the compensation received hereunder pursuant to Article III. Such sub-advisory agreement will be coterminous with this Agreement.
SUB-ADVISORY AGREEMENT. Multi-Manager Small Cap Fund Sub-Advisory Agreement (this “Agreement”) entered into as of the 1st day of February 2011, by and among Northern Trust Investments, INC. and The Northern Trust Company of Connecticut (formerly Northern Trust Global Advisors, Inc.) (together, the “Advisers”), and Allianz Global Investors Capital LLC a Delaware limited liability company (the “Sub-Adviser”).
SUB-ADVISORY AGREEMENT. The agreement described in Section 6.03 of this Agreement.
SUB-ADVISORY AGREEMENT. The Trust hereby acknowledges and approves the terms of that certain Sub-Advisory Agreement dated as of the date hereof between the Advisor and UDFH General Services, L.P. and consents to the performance of the advisory services set forth herein by UDFH General Services, L.P. The Advisor shall notify the Trust of any amendment to the Sub-Advisory Agreement and shall obtain the Trust’s prior written consent, which consent will not be unreasonably withheld, to any material amendment to the Sub-Advisory Agreement. Notwithstanding anything in this Section 6.03 to the contrary, the Advisor shall remain a fiduciary to the Trust.
SUB-ADVISORY AGREEMENT. The Investment Advisor will receive statistical and credit advice, as well as computer and research services from Provident National Bank (the "Sub-Advisor"), and the Sub-Advisor's fees for such services will be paid by the Investment Advisor from the fees it receives from the Company pursuant to Paragraph 11. Notwithstanding anything herein to the contrary, this Agreement shall not be effective until the Investment Advisor and the Sub-Advisor deliver to the Company a duly executed copy of a Sub-Advisory Agreement in substantially the form of Exhibit A hereto pursuant to which the Sub-Advisor will provide the Investment Advisor with certain investment advisory services on behalf of the Portfolio, as described in the preceding sentence. The Investment Advisor agrees to give the Company prompt written notice of any termination of or notice to terminate the Sub-Advisory Agreement by any person other than the Company.
SUB-ADVISORY AGREEMENT. Client understands and agrees that: (a) execution of this Brokerage Agreement and continuation of its terms is contingent upon Client participating in the Program pursuant to the Sub-Advisory Agreement; (b) only Assets managed under the Program may be maintained within the Account; and (c) Betterment Securities will only execute transactions in the Account pursuant to orders Betterment places with Betterment Securities via the Program.
SUB-ADVISORY AGREEMENT. With respect to each Fund, Polaris hereby agrees for the Waiver Period or until the Trustees terminate the obligations of the Manager under this Agreement, whichever occurs first, to waive such portion of the sub-advisory fees that it would otherwise receive under the FV Advisory Contract, the FVSC Advisory Contract or the IO Sub-Advisory Contract, as the case may be, for serving as the sub-adviser to the Fund, such that the aggregate sub-advisory fee that Polaris would receive during the Waiver Period for:
