Service with Employer. Employer hereby employs Executive in an executive capacity with the title of President and Chief Executive Officer and Executive hereby accepts such employment and undertakes and agrees to serve in such capacity. Subject to the overall policy directives of the Board of Directors (the “Board”) and applicable law, in Executive’s capacity as President and Chief Executive Officer, Executive shall have such powers, perform such duties and fulfill such responsibilities as are typically associated with such position in other similarly situated companies.
Service with Employer. Employer hereby employs Executive in an executive capacity with the title of Senior Vice President, Clinical Development and Chief Medical Officer ("Title"), and Executive hereby accepts such employment and undertakes and agrees to serve in such capacity. Subject to the overall policy directives of the Board of Directors (the "Board") and applicable law, in Executive's capacity as Title, Executive shall have such powers, perform such duties and fulfill such responsibilities as are typically associated with such position in other similarly situated companies.
Service with Employer. During the Period of Employment, Executive agrees to perform such reasonable executive employment duties as Employer shall assign to him from time to time and shall have the title of President and Chief Executive Officer and upon the earlier of (x) the retirement of Xxxxx X. Xxxxxxx, and (y) January 1, 1999, the Executive shall have the additional title of Chairman of the Board of Directors of the Employer; provided, however, that Employer may name another executive President during the Period of Employment so long as Executive retains the other titles as herein provided. Executive also agrees to serve, for any period for which he is elected, as a director on the Board of Directors of Employer and to serve as a member of any committee of the Board of Directors of Employer to which Executive may be elected or appointed.
Service with Employer. Employer hereby employs Executive in an executive capacity with the title of Chief Scientific Officer and Executive hereby accepts such employment and undertakes and agrees to serve in such capacity. Executive shall have such powers, perform such duties and fulfill such responsibilities as are typically associated with such position in other similarly situated companies. Executive shall report directly to the Company’s President and Chief Executive Officer.
Service with Employer. Executive shall be Employer's President and Chief Operating Officer. During the term of this Agreement, Executive agrees to perform all duties consistent with his position as President and Chief Operating Officer of Employer. Executive shall have general management and control of the day to day business, affairs and property of Employer in the ordinary course of its business with all such powers with respect to such general management and control as may be reasonably incident to such responsibilities. Executive shall also serve as a director of Employer and, at the request of the Board of Directors, as a director of one or more subsidiaries of Employer; provided, however, that Executive shall not be entitled to any additional compensation for serving in such capacities.
Service with Employer. EXECUTIVE agrees to serve as ADC Vice President — President Software Systems Business Unit (“SSB”), and to perform such duties, as EXECUTIVE’s then immediate supervisor shall assign to EXECUTIVE from time to time. EXECUTIVE acknowledges and agrees that, from time to time, EXECUTIVE may be required to perform duties with respect to one or more EMPLOYER Affiliates.
Service with Employer. During the Period of Employment, --------------------- Executive agrees to perform such reasonable executive employment duties as Employer shall assign to him from time to time and shall have the title of Chairman of the Board, President and Chief Executive Officer. Executive also agrees to serve, for any period for which he is elected, as a director on the Board of Directors of Employer and to serve as a member of any committee of the Board of Directors of Employer to which Executive may be elected or appointed.
Service with Employer. At the date of this Agreement, the Executive holds the positions of Chairman of the Board of Directors, President and Chief Executive Officer of the Employer. The Executive agrees to perform such employment duties as the Board of Directors of the Employer shall from time to time assign to him consistent with his offices as Chairman of the Board of Directors, President and Chief Executive Officer.
Service with Employer. During the Term, Executive will serve as Employer's Chief Executive Officer and Member of the Board of Directors, provided that he is duly elected by Employer's shareholders as required by Employer's Articles of Incorporation and Bylaws. The Board of Directors will appoint Executive to serve on the Board of Directors on an interim basis until an election is held pursuant to the company's Articles of Incorporation and By-Laws. The Board of Directors will nominate Executive to serve on the Board of Directors in the next election. Executive will report directly to and will work at the pleasure of Employer's Board of Directors.
Service with Employer. Employee will report solely to the Chief Executive Officer of EMPLOYER (“CEO”) and perform transition responsibilities, special projects, and other assignments as assigned from time to time by the CEO. Employee may, at his election, work from EMPLOYER’s offices in Massachusetts. Employee acknowledges and agrees that, from time to time, Employee may be required by the CEO to perform duties with respect to one or more EMPLOYER Affiliates. The parties intend that Employee act in an advisory and transitional role, and do not consider Employee to be an Officer of EMPLOYER during the Term; provided, however, that Employee agrees during the Term not to engage in any transactions involving EMPLOYER’s securities without first obtaining review by EMPLOYER’s internal SEC counsel.
