Seller’s Agents. Customer acknowledges that it has been advised that no agent, employee, representative or dealer of Seller has any authority to bind Seller to any affirmation, promise, representation, or warranty concerning any of the products and, unless such affirmation, promise, representation, or warranty is specifically set forth in this Agreement, it does not form a basis of this bargain and shall not be enforceable against Seller.
Seller’s Agents. Each of the Sellers hereby irrevocably appoints Xxxxx X. Xxxxx, III, Xxxxxxx X. Xxxxxxxx, and Xxxxxxx X. Xxxxx (herein called the "Sellers' Agents") as his, her or its agent and attorney-in-fact to take any action required or permitted to be taken by such Seller under the terms of this Agreement, including, without limiting, the generality of the foregoing, the payment of expenses relating to the transactions contemplated by the Agreement, and the right to waive, modify or amend any of the terms of this Agreement in any respect, whether or not material, and agrees to be bound by any and all actions taken by the Sellers' Agents on his or its behalf. Any action to be taken by the Sellers' Agents shall be unanimous. In the event of the death, incapacity or liquidation of any of Sellers' Agents, such person or entity shall not be replaced, and the remaining Sellers' Agents shall continue in that capacity. The Sellers agree jointly and severally to indemnify the Sellers' Agents from and against and in respect of any and all liabilities, damages, claims, costs, and expenses, including, but not limited to attorneys' fees, arising out of or due to any action by them as the Sellers' Agents and any and all actions, proceedings, demands, assessments, or judgments, costs, and expenses incidental thereto, except to the extent that the same result from bad faith or gross negligence on the part of the Sellers' Agents. Purchaser shall be entitled to rely exclusively upon any communications given by the Sellers' Agents on behalf of any Seller, and shall not be liable for any action taken or not taken in reliance upon the Sellers' Agents. Purchaser shall be entitled to disregard any notices or communications given or made by Sellers unless given or made through the Sellers' Agents.

BUYER ACKNOWLEDGES THAT IT HAS BEEN ADVISED THAT NO AGENT, EMPLOYEE, OR REPRESENTATIVE OF SELLER HAS ANY AUTHORITY TO BIND SELLER TO ANY AFFIRMATION, PROMISE, REPRESENTATION, OR WARRANTY CONCERNING ANY OF THE GOODS OR SERVICES, AND, UNLESS SUCH AFFIRMATION, PROMISE, REPRESENTATION, OR WARRANTY IS SPECIFICALLY SET FORTH IN THIS AGREEMENT, IT DOES NOT FORM A BASIS OF THIS BARGAIN AND SHALL NOT BE ENFORCEABLE AGAINST SELLER.
Seller’s Agents. Property Peddler, Inc., and Xxxxxx Xxxxxxxx Marquee Group, LLC d/b/a Xxxxxx Xxxxxxxx Marquee are agents of the Seller and not the Buyer.
Seller’s Agents. No agent, employee, representative or dealer of Supplier has any authority to bind Supplier to any affirmation, promise, representation, or warranty concerning any of the Parts.
Seller’s Agents. PAY ORDER A for USD $1.00/BBL (One US Dollar Only) per barrel to be issued to: XXXXXXXXXXXXXXXXX BUYER’S AGENTS PAY ORDER B for USD $1.00/BBL (One US Dollar only) per barrel to be issued to: XXXXXXXXXXXXX SELLER’S FACILITATOR PAY ORDER C FOR USD $ 0.50/BBL (Zero US Dollar and thirty-five cents) per barrel to be paid to xxxxxxxxxxxxxxxxxxxx BUYER’S FACILITATOR PAY ORDER D FOR USD $0.50/BBL (Zero US Dollar and thirty-five cents) per barrel to be paid to: BXXXXXXXXXXXXXXXXXX. Seller’s Agents. A seller's agent, under a listing agreement with the seller, acts solely on behalf of the seller. A seller can authorize a seller's agent to work with xxxxxxxxx, buyer's agents and/or transaction coordinators. A subagent is one who has agreed to work with the listing agent, and who, like the listing agent, acts solely on behalf of the seller. Seller's agents and subagents will disclose to the seller known information about the buyer which may be used to the benefit of the seller. Individual services may be waived by the seller through execution of a limited service agreement. Only those services set forth in paragraphs (2)(b), (c), and (d) above may be waived by the execution of a limited service agreement.

Seller’s Agents. Customer acknowledges that it has been advised that no agent, employee, or representative of KMBS has any authority to bind KMBS to any affirmation, promise, representation, or warranty concerning any of the Products therefore, unless an affirmation, promise, representation, or warranty is specifically set forth in this Agreement, it does not form a basis of this bargain and shall not be enforceable against KMBS.
