Seller Indemnification Obligation. Seller hereby agrees to indemnify, defend (with counsel selected by Purchaser), protect and hold wholly harmless Purchaser, the Company and its managers, officers, directors, members, employees, agents, representatives, associates, and affiliates from any claim, loss, damage, expense or liability resulting to Purchaser, the Company or any of the foregoing persons if any representation, or warranty made by Seller under Section 3.1 is false, or Seller is in violation or breach of any of Seller’s covenants in this Agreement.

Seller Indemnification Obligation. (a) Subject to Section 8.1 and Section 8.4, Seller shall indemnify, defend and hold harmless the Buyers and their respective Representatives (each, a “Buyer Indemnified Party”) from and against all Losses incurred or suffered by any Buyer Indemnified Party resulting from, arising out of or relating to (i) any breach of any representation or warranty as if made on the Closing Date or any breach of any covenant of Seller contained in this Agreement, or any Ancillary Agreement; or (ii) the Excluded Liabilities; provided, that such Buyer Indemnified Party shall have asserted its Claim for indemnification in writing, before the expiration of any applicable survival period in Section 8.1(b).
Seller Indemnification Obligation. Subject to Section 8.1 and Section 8.4, Seller shall indemnify, defend and hold harmless Buyer and its Representatives (each, a “Buyer Indemnified Party”) from and against all Losses incurred or suffered by any Buyer Indemnified Party resulting from, arising out of or relating to (a) any breach of any representation, warranty or covenant of Seller contained in this Agreement, or any Ancillary Agreement; (b) the Excluded Liabilities; (c) all Taxes imposed on, asserted against or attributable to the properties, income or operations of the Acquired Assets or any Taxes for which Seller (or any of its Affiliates) is otherwise liable, in each case, for all Pre-Closing Periods, except to the extent (i) such Taxes were included as a liability in the calculation of amounts to be prorated or (ii) such Taxes are Transfer Taxes covered under Section 7.4(a) and (d) the portion of any Transfer Taxes that are allocable to Seller pursuant to Section 7.4(a), that are imposed as a result of the transactions contemplated by this Agreement; provided, that such Buyer Indemnified Party shall have asserted its claim for indemnification in writing, before the expiration of any applicable survival period in Section 8.1(b).
Seller Indemnification Obligation. Subject to the terms and conditions of this ARTICLE 8, from and after the Closing Date, Seller covenants and agrees that it shall indemnify, defend and hold harmless Buyer and its Representatives (each, a “Buyer Indemnified Party”) from and against all Losses incurred or suffered by any Buyer Indemnified Party (including, on and after the Closing Date) (whether or not brought by a third party) arising out of (a) any inaccuracy in or breach of any representation or warranty of Seller contained in this Agreement, (b) any breach or non-fulfillment of any covenant, agreement or obligation to be performed by Seller pursuant to this Agreement, (c) any Excluded Asset or any Excluded Liability, and (d) any Third Party Claim relating to any of the foregoing. For purposes of this Section 8.3, any inaccuracy in or breach of any representation or warranty shall be determined without regard to any materiality, Material Adverse Effect or other similar qualification contained in or otherwise applicable to such representation or warranty, except with respect to the representations and warranties set forth in Sections 5.5(a) and (b), and Section 5.6 and the lists set forth in Schedules, 2.1(c), 5.9(f) and 5.11(a).

In addition to their other obligations under this Section 9, the Offerors hereby agree that, as an interim measure during the pendency of any claim, action, investigation, inquiry or other proceeding arising out of, or based upon, or related to the matters described above in this Section 9.1, they shall reimburse each Indemnified Party on a quarterly basis for all reasonable legal or other expenses incurred in connection with investigating or defending any such claim, action, investigation, inquiry or other proceeding, notwithstanding the absence of a judicial determination as to the propriety and enforceability of the possibility that such payments might later be held to have been improper by a court of competent jurisdiction. To the extent that any such interim reimbursement payment is so held to have been improper, each Indemnified Party shall promptly return such amounts to the Offerors together with interest, determined on the basis of the prime rate (or other commercial lending rate for borrowers of the highest credit standing) announced from time to time by First Tennessee Bank National Association (the “Prime Rate”). Any such interim reimbursement payments which are not made to an Indemnified Party within 30 days of a request for reimbursement shall bear interest at the Prime Rate from the date of such request.

Notwithstanding any other provision of this Agreement, the obligation of Seller under this Section 6.01 shall not terminate upon a Service Transfer pursuant to Article VIII of the Sale and Servicing Agreement and shall survive any termination of that agreement or this Agreement.
