Satellite Production System Operations. The Magnolia Owners will provide via the Magnolia TLP Operator the operations described on Exhibit “B” (Magnolia TLP Services) for the Satellite Production System in accordance with the Satellite Operations Procedures Guide, which are the limit of the Satellite Production System Operations provided hereunder. Such operations will be performed only to the extent that such functions can be performed from or on the Magnolia TLP by the Magnolia TLP Operator’s regular operating personnel with the standard equipment and/or tools typically available on the Magnolia TLP in accordance with the Magnolia TLP Operator’s day-to-day operating procedures and guidelines. The Magnolia Owners and the Magnolia TLP Operator shall not be liable to the Producer for losses sustained or liabilities incurred in conducting the specified operations for the Satellite Production System, except as may result from their gross negligence or willful misconduct. In operating the Satellite Production System, the Magnolia TLP Operator shall never be required under this Agreement to conduct an operation that it believes would be unsafe or would endanger persons, property or the environment.

  • Utility Services The Owner represents that, to the best of its knowledge, all utility services required to construct and operate the Project (including, without limitation, public water, sewer and electricity) are currently available to the Property in the capacities required to operate the Project. No work need be performed by or on behalf of the Developer to make such utilities available to the Property for the construction or operation of the Project, except for the matters, if any, set forth on Exhibit "D". Copies of letters from the providers of such utility services confirming such availability are annexed hereto as Exhibit "G".

  • Disaster Recovery and Business Continuity Company has developed and implemented a contingency planning program to evaluate the effect of significant events that may adversely affect the customers, assets, or employees of Company and Company Bank. To Company’s Knowledge, such program ensures that Company can recover its mission critical functions, and complies in all material respects with the requirements of the FFIEC and the FDIC.

  • Building Services To install, use and maintain through the Premises, pipes, conduits, wires and ducts serving the Building, provided that such installation, use and maintenance does not unreasonably interfere with Tenant's use of the Premises.
