Role of the Government. The Government, within its competence and in accordance with the legislation of Georgia, intends to: • Identify areas in which action by the Government and assistance by the EBRD may result in a significant improvement of the business climate and development of the private sector in Georgia; • Participate in the activities of the Investors Council and implement, when it deems appropriate, the measures suggested by the business community and discussed at the Investors Council meetings; • Cooperate with the EBRD and other international financial institutions (“IFIs”) on joint analysis and definition of possible ways to improve legislation, practices and other relevant areas aimed at fostering investment, both foreign and domestic, into the economy of Georgia; • Considering that the Investors Council has already been created by the Government of Georgia’s respective resolution, take necessary measures to ensure that the Secretariat is established and make available adequate office space for the Secretariat for a minimum period of two years as an in-kind or cash contribution and will also cover the cost of certain utilities, such as electricity and water supply in case the office space is provided in the premises of the state authority as in-kind contribution.

Role of the Government. The Government, within its competence and in accordance with the legislation of Albania, intends to:  identify areas in which action by the Government and assistance by the EBRD may result in a significant improvement of the development of the private sector and of the business and investment climate in Albania;  promote the activities envisioned under this Memorandum, including but not limited to the work of a dedicated Investment Council to support the NEC and the NEC Secretariat (as set out in Annex 1 of this Memorandum), implement the measures suggested by the business community and decided at the Investment Council’s meetings, and lead efforts to strengthen the rule of law, prevent corruption, reinforce mechanisms of dispute resolution, enhance transparency and address the issue of informality in the economy;  work closely with the EBRD and other stakeholders on joint analysis and definition of possible ways to improve legislation, practices and other relevant areas aimed at fostering investment, both foreign and domestic, into the economy of Albania;  take the necessary measures to identify and open up opportunities to attract foreign investment and galvanize domestic investments towards sectors with potential for developing and contributing to the economic development.

  • Interpretation and Application For purposes of this Chapter:

  • Compliance with Government Regulations The Company covenants that if any share of Common Stock required to be reserved for purposes of exercise or conversion of Warrants require, under any federal or state law or applicable governing rule or regulation of any national securities exchange, registration with or approval of any governmental authority, or listing on any such national securities exchange, before such shares may be issued upon exercise, the Company will use its commercially reasonable efforts to cause such shares to be duly registered, approved or listed on the relevant national securities exchange, as the case may be.

  • Actions Before Governmental Authorities There are no actions, suits or proceedings at law or in equity or by or before any governmental authority now pending or, to the knowledge of Borrower, threatened against or affecting Borrower or its property, that is reasonably expected to result in a Material Adverse Effect.

  • No Governmental Prohibition No order, statute, rule, regulation, executive order, injunction, stay, decree, judgment or restraining order shall have been enacted, entered, promulgated or enforced by any court or governmental or regulatory authority or instrumentality which prohibits the consummation of the transactions contemplated hereby.

  • Controlled Government Data The Disclosing Party's Controlled Government Data, if any, will be identified in a separate technical document.

  • No Government Obligor No Receivable is due from the United States or any State or from any agency, department or instrumentality of the United States or any State.

  • Interpretation and Governing Law This Agreement and any dispute arising hereunder shall be governed and interpreted in accordance with the laws of the State of California. This Agreement shall be construed as a whole according to its fair language and common meaning to achieve the objectives and purposes of the parties hereto, and the rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not be employed in interpreting this Agreement, all parties having been represented by counsel in the negotiation and preparation hereof.
