Restrictions on Use of the Licensed Software. Except to the extent contrary to applicable law, the Licensee is prohibited from causing or permitting the reverse engineering, disassembly or de-compilation of the Licensed Software. The Licensee is prohibited from using the Licensed Software to provide service bureau data processing services or to otherwise provide data processing services to third parties. The Licensee will not allow the Licensed Software to be used by, or disclose all or any part of the Licensed Software to, any person except the Licensee’s Employees. Without limiting the foregoing, the Licensee is permitted to allow use of the Licensed Software screen displays by third parties solely for input and retrieval purposes on a strict "need to know" basis, and such use shall not be deemed a non-permitted disclosure of the Licensed Software. The Licensed Software will be installed on a single server to be used in a single live instance connected to a single database. The Licensee shall not copy or install the Licensed Software anywhere else within the Licensee's organisation (except for legitimate backup purposes).

Without limiting the foregoing, Licensee is permitted to allow use of the input and/or output sensory displays of or from the Licensed Software by third parties on a strict "need to know" basis, and such use shall not be deemed a non-permitted disclosure of the Licensed Software. Licensee will not allow the Licensed Software, in whole or in part, to be exported outside of the United States of America and Canada, in any manner or by any means, without in each instance obtaining SCT's prior written consent (such consent which SCT will not unreasonably withhold or delay) and, if required, a validated export license from the Office of Export Administration within the U.S. Department of Commerce and such other appropriate United States Governmental authorities. Subject to and without limiting the foregoing, Licensee is permitted to use the Licensed Software for the benefit of any Institution located in Canada so long as Licensee has acquired, if required, a validated export license from the Office of Export Administration within the U.S. Department of Commerce and such other appropriate United States governmental authorities.

Without limiting the foregoing, Licensee agrees that the Licensed Software may not be exported to any of the following countries: Cuba, Iran, Iraq, Libya, North Korea, Sudan or Syria or any other country where such exports are prohibited by the US or Canadian governments.

The computer readable media containing Object Code for the Licensed Software may also contain Object Code for Licensed Softwares for which the Licensee is not granted a licence for use. The Licensee may not make any use of any Object Code for any such software for which the Licensee is not expressly granted a licence for use under the Agreement. Any rights not expressly granted in the Agreement are expressly reserved.

  • Use of Intellectual Property The Adviser grants to the Sub-Adviser a sublicense to use the trademarks, service marks, logos, names, or any other proprietary designations of the Adviser (“AdvisorShares Marks”) on a non-exclusive basis. The Sub-Adviser will acquire no rights in the AdvisorShares Marks, and all goodwill of the AdvisorShares Marks shall inure to and remain with the Adviser. The Sub-Adviser agrees that neither it, nor any of its affiliates, will knowingly in any way refer directly or indirectly to its relationship with the Trust, the Fund(s), the Adviser or any of their respective affiliates or use AdvisorShares Marks in offering, marketing or other promotional materials without the prior express written consent of the Adviser, which approval will not be unreasonably withheld or delayed, except as required by rule, regulation or upon the request of a governmental authority. Notwithstanding the forgoing, the Sub-Adviser and its affiliates may, without obtaining the Adviser’s prior approval, refer directly or indirectly to its relationship with the Trust, the Fund(s), the Adviser or any of their respective affiliates and use AdvisorShares Marks in offering, marketing or other promotional materials provided that such materials were previously approved by the Adviser and remain in substantially the same form.

  • General Restrictions on Use Advisor agrees to hold all Proprietary Information in confidence and not to, directly or indirectly, disclose, use, copy, publish, summarize, or remove from Company's premises any Proprietary Information (or remove from the premises any other property of Company), except (i) during the consulting relationship to the extent authorized and necessary to carry out Advisor's responsibilities under this Agreement, and (ii) after termination of the consulting relationship, only as specifically authorized in writing by Company.
