License Restrictions. Within fifteen (15) calendar days of receipt of a written request, Customer shall either (i) provide a certified report indicating the number of Users being utilized; (ii) conduct a webinar to show Beyond Identity the number of Users being utilized; or (iii) allow Beyond Identity to remotely access the Company’s controlled network system servers. In the event that Beyond Identity determines that Company has over deployed the Software such that it is utilizing more Users then licensed hereunder, Beyond Identity shall notify Customer in writing of any alleged discrepancy and Company agrees to pay such amounts within thirty (30) calendar days from receipt of such notification. The amount due shall be calculated from the initial time of over deployment and shall be subject to interest at the lesser of one and a half (1.5 %) percent per month or the highest rate permitted by law.

In the event that Core determines that Customer has underpaid any payment due under this Agreement, Core shall notify Customer in writing of this alleged discrepancy. Any undisputed underpayment by Customer shall be paid to Core (plus interest at the lesser of one and a half (1.5 %) percent per month or the highest rate permitted by law), within thirty (30) Calendar Days of such determination.

License Restrictions. As of the Archive Effective Date, the licenses granted under LS-5 Schedule and Content System Schedule are amended to permit use by Customer solely to archive the system data stored in the Blackboard Software as of March 31, 2010 for data retention and retrieval purposes only and Customer may not utilize the Blackboard Software for any teaching or other purposes. The maximum number of active users is 10. As amended by this Amendment, LS-5 Schedule and Content System Schedule together with the Hosting Archive Schedule, shall be collectively referred to as the “Archival Schedules”.
