Restrictions on First-Offer Right. The First-Offer Right shall be personal to the originally named Tenant and shall be exercisable only by the originally named Tenant (and not any assignee or other Transferee of Tenant’s interest in this Lease). The originally named Tenant may exercise the First-Offer Right only if the Tenant occupies the entire Premises as of the date of the First-Offer Notice. Tenant shall not have the right to lease First-Offer Space if Tenant is in material default under this Lease as of the date of the attempted exercise of the First- Offer Right or as of the scheduled date of delivery of the First-Offer Space.

Subtenant shall have no right to sublease the Specific First-Offer Space unless Overlandlord shall have consented to such subletting in accordance with the provisions of the Xxxxxxxxx.

  • General Partner Right of First Refusal The transferring Partner shall give written notice of the proposed transfer to the General Partner, which notice shall state (i) the identity of the proposed transferee, and (ii) the amount and type of consideration proposed to be received for the transferred Partnership Units. The General Partner shall have ten (10) days upon which to give the transferring Partner notice of its election to acquire the Partnership Units on the proposed terms. If it so elects, it shall purchase the Partnership Units on such terms within ten (10) days after giving notice of such election. If it does not so elect, the transferring Partner may transfer such Partnership Units to a third party, on economic terms no more favorable to the transferee than the proposed terms, subject to the other conditions of this Section 11.3.

Subscriber further acknowledges that because the Company is a shell company, Rule 144 may not be available to the Subscriber for the resale of the Shares until one year following consummation of the initial business combination of the Company, despite technical compliance with the requirements of Rule 144 and the release or waiver of any contractual transfer restrictions.
