Responsibility for Conduct of Participant and Its Authorized Users. The Participant shall be solely responsible for all acts and omissions of the Participant and/or its Authorized Users, and all unauthorized individuals who access the HIE and/or use the Services either through the Participant or by use of any password, identifier or log-on received or obtained from the Participant or any of the Authorized Users, only if such access was obtained as a result of the negligence or willful misconduct of the Participant or a Participant’s Authorized User.

Responsibility for Conduct of Participant and Its Authorized Users. The Participant shall be solely responsible for all acts and omissions of the Participant and/or the Participant’s Authorized Users, and all other individuals who access the HIE and/or use the Services either through the Participant or by use of any password, identifier or log-on received or obtained, directly or indirectly, lawfully or unlawfully, from the Participant or any of the Participant’s Authorized Users, with respect to the HIE, the Services and/or any Patient Data or other confidential and/or other information accessed in connection therewith, and all such acts and omissions shall be deemed to be the acts and omissions of the Participant.

The Residence provides living accommodations for independent students who are to be responsible and accountable for their personal needs and their interactions with their fellow residents as opposed to residential care. The Manager is responsible for the maintenance and operation of the residence. The Manager, in consultation with the Institution, may from time to time, in its sole and unfettered discretion, establish and/or amend policies, protocols and guidelines to uphold and ensure compliance with the standards set forth by the Manager, all of which will constitute part of the Residence Community Living Standards or Institution Code of Conduct, as appropriate.
