Reserve Engineer Letters. The Underwriters shall have received, on each of the date hereof and the Closing Date or any Additional Closing Date, as the case may be, a letter dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance satisfactory to the Underwriters, from the Reserve Engineer, containing statements and information ordinarily included in reserve engineers’ “comfort letters” with respect to the applicable reserve reports and related information contained or incorporated by reference in the Registration Statement, the Time of Sale Information or the Prospectus.
Reserve Engineer Letters. The Initial Purchasers shall have received letters, dated the Closing Date and addressed to the Initial Purchasers, from Xxxxxx, Xxxxxxxxx & Associates, Inc. and Xxxxx Xxxxx Company, L. P., each an independent petroleum engineering firm for the Company, in form and substance reasonably satisfactory to the Representative and counsel for the Initial Purchasers.
Reserve Engineer Letters. The Representative shall have received, on each of the date hereof and the Closing Date, letters dated the date hereof or the Closing Date, as the case may be, in form and substance satisfactory to the Representative, from the Reserve Engineer, containing statements and information ordinarily included in reserve engineers’ “comfort letters” with respect to the applicable reserve reports and related information contained or incorporated by reference in the Time of Sale Information or the Offering Memorandum.
Reserve Engineer Letters. The Representative shall have received letters, dated the Closing Date and addressed to the Underwriters, from the Company Engineers and the Acquired Assets Engineers, in form and substance reasonably satisfactory to the Representative and counsel for the Underwriters.
Reserve Engineer Letters. On the date of this Agreement and on the Closing Date, Xxxxx Xxxxx and Xxxxxx shall have furnished to the Representative, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Initial Purchasers, stating the conclusions and findings of such firm with respect to the oil and natural gas reserves of the Company, Pivotal and W Energy, as applicable, in form and substance reasonably satisfactory to the Representative.
Reserve Engineer Letters. (i) The Representatives shall have received letters, dated, respectively, the date hereof and each Closing Date, of NSAI, in form and substance reasonably satisfactory to Credit Suisse, confirming that they are independent reserve engineers for the Company and that, as of the date of such letters, no information has come to their attention that could reasonably have been expected to cause them to withdraw their reserve reports.
Reserve Engineer Letters. The Representatives shall have received letters, dated respectively the date hereof and the Closing Date, of Xxxxx Xxxxx, with respect to the Company and Viper, and Netherland Xxxxxx, with respect to Endeavor, in form and substance reasonably acceptable to the Representatives, containing statements and information in the type customarily included in such letters to underwriters with respect to the reserves and other operational information contained or incorporated by reference in the General Disclosure Package and the Final Prospectus.
Reserve Engineer Letters. (i) On the date of this Agreement and on the Closing Date, the Initial Purchasers shall have received a letter, dated the respective dates of delivery thereof and addressed to the Initial Purchasers, from Xxxxxx and Company, Inc., an independent petroleum engineering firm with respect to the Parent Guarantor and/or its subsidiaries, in form and substance reasonably satisfactory to the Initial Purchasers and counsel for the Initial Purchasers with respect to the Parent Guarantor and its subsidiaries.
Reserve Engineer Letters. On the date hereof and on the Closing Date, the Initial Purchasers shall have received, in form and substance reasonably satisfactory to the Representative, letters, dated the respective dates of delivery thereof and addressed to the Initial Purchasers, containing statements and information of the type customarily included in reserve engineer’s letters to initial purchasers with respect to the oil and gas reserves information contained or incorporated by reference in the Pricing Disclosure Package or the Final Offering Memorandum, as applicable.
Reserve Engineer Letters. On each Representation Date, the Partnership shall cause RED to deliver to BMOCM the reserve engineer letter(s) described in Section 4(g).
