Release of Company Parties. The Franchise Parties, for themselves -------------------------- and their successors, heirs, executors, administrators, personal representatives, agents, assigns, partners, shareholders, directors, officers, employees and affiliated entities (collectively, the "Releasing Parties"), hereby forever release and discharge Company and its affiliated corporations, and all of their respective officers, directors, shareholders, employees, agents, successors and assigns (collectively, the "Company Parties"), from any and all claims, damages, demands, causes of action, suits, duties, liabilities and agreements of any nature and kind which any of the Releasing Parties now have, ever had or, but for this Agreement, hereafter would or could have against any of the Company Parties arising out of their obligations under the License Agreements and Subleases or otherwise from the Releasing Parties' relationship with any of the Company Parties from the beginning of time to the date of this Agreement. However, this release does not release Xxx. Xxxxxx' Original Cookies, Inc., an affiliate of the Company ("MFOC") from the obligations, representations and warranties of MFOC under the Asset Purchase Agreement executed by the Releasing Parties and MFOC concurrently herewith or any document executed in connection therewith.

Release of Company Parties. Except for the obligations of Broadcom Corporation, a California Corporation (“Company”), expressly set forth in the agreement entered into between the Company and Xxxxx X. Xxxx (“Employee”) effective January 30, 2009 (“Agreement”), the Indemnification Agreement (as hereinafter defined), and all agreements evidencing the Employee’s outstanding stock options, restricted stock units or other equity awards from the Company (to the extent that those stock options, restricted stock units or equity awards remain outstanding pursuant to the terms of the Agreement), Employee does hereby, on behalf of himself and his successors, heirs, assigns, related individuals and entities (if any), fully and forever release and discharge the Company and any of its parent corporations, subsidiaries (whether or not wholly-owned), brother-sister corporations, and all other affiliated, related, predecessor or successor corporations and entities, and each of their respective present and former officers, directors, employees, representatives, administrators, accountants, attorneys, investigators, partners, associates, successors and assigns, in any and all capacities (including but not limited to the fiduciary, representative or individual capacity of any released person or entity), and any entity owned by or affiliated with any of the foregoing (each a “Company Party” and together, the “Company Parties”) from, and covenants not to xxx or otherwise institute or cause to be instituted any legal or administrative proceedings against the Company or the Company Parties with respect to, any matter arising out of or relating to Employee’s employment with Company or the termination of such employment or any acts of the Company or any Company Party, including (without limitation) any claims and causes of action against the Company or any Company Party that relate to conduct relating to Employee’s employment occurring before and up to the date of the Release. Release of Company Parties. 1.1 Upon execution of this Agreement, each of the Levy Parties, for itself/himself and on behalf of each of their respective affiliates, heirs, executors, personal representatives, administrators, successors, assigns, spouses and predecessors, hereby unconditionally and irrevocably releases and forever discharges (a) the Company, (b) all direct and indirect parents, subsidiaries, affiliates, units, divisions, successors, assigns and predecessors of the Company, and all of their respective past, current and future employees, directors, officers, controlling persons, owners, stockholders, attorneys, agents and representatives, in their individual and official capacities, (c) the Company's and any affiliated entity's insurers, (d) the Company's and any affiliated entity's past, present and future employee benefit plans, as well as, the administrators, fiduciaries, affiliates, trustees, insurers and otherwise of all such plans, and (e) all persons, corporations or other entities acting by, through, under or in concert with any of them or that might be claimed to be jointly or severally liable with them (collectively, the “Company Parties”), from all Levy Released Claims. “

  • Release of Company Receipt of severance and health benefits pursuant to this Section 10 shall be in lieu of all other amounts payable by the Company to Employee and in settlement and complete release of all claims Employee may have against the Company or its directors, officers, or shareholders, other than those arising out of the severance benefits due and payable under this Agreement and Employee’s rights under this Agreement. Employee acknowledges and agrees that execution of a general release of claims by Employee in a form reasonably acceptable to the Company shall be a condition precedent to the Company’s obligation to pay severance benefits hereunder.

  • Return of Company Documents When I leave the employ of the Company, I will deliver to the Company any and all drawings, notes, memoranda, specifications, devices, formulas, and documents, together with all copies thereof, and any other material containing or disclosing any Company Inventions, Third Party Information or Proprietary Information of the Company. I further agree that any property situated on the Company's premises and owned by the Company, including disks and other storage media, filing cabinets or other work areas, is subject to inspection by Company personnel at any time with or without notice. Prior to leaving, I will cooperate with the Company in completing and signing the Company's termination statement.

  • Separation Agreement and General Release The Company’s obligation to make the Severance Payment or to pay the Salary Continuation is conditioned on Executive’s or his legal representative’s executing a separation agreement and general release of claims related to or arising from Executive’s employment with the Company or the termination of employment, against the Company and its affiliates (and their respective officers and directors) in a form reasonably determined by the Company, which shall be provided by the Company to Executive within five (5) days following the Date of Termination; provided, that, if Executive should fail to execute (or revokes) such release within 60 days following the Date of Termination, the Company shall not have any obligation to provide the Severance Payment or the Salary Continuation. If Executive executes the release within such 60 day period and does not revoke the release within seven (7) days following the execution of the release, the Severance Payment will be made in accordance with Section 4(a)(ii) or the Salary Continuation shall commence at such time, as applicable.

  • Release of Employment Claims Executive agrees, as a condition to receipt of the termination payments and benefits provided for in this Section 4, that he/she will execute a release agreement, a form of which is attached hereto as Exhibit A, releasing any and all claims arising out of Executive’s employment.

  • Covenant Not to Solicit Employees The Executive agrees not to solicit the services of any officer or employee of the Employer for one year after the Executive’s employment termination.
