Real Estate Purchase. Concurrent with the execution and delivery hereof, Seller shall have entered into (and consummated the transactions contemplated by) a binding agreement pursuant to which Seller will have conveyed to Buyer the real property described in Schedule 3.5 hereto (the "Real Estate Transaction"). Real Estate Purchase. On or prior to the Closing, the Seller shall cause fee title to the parcels of real estate designated as the "Snowflower Parcel" and the "Tennis Xxxxxxx Parcel" in Schedule 3.19(a)(i) (the "Conveyed Properties") to be conveyed to (i) the Company or (ii) the Purchaser Designee, by special warranty deed, free and clear of all Liens other than Permitted Exceptions. Following such conveyance, the Conveyed Properties shall not be conveyed to any other Person.
