PUBLIC ANNOUNCEMENTS AND RELEASES. Except as otherwise required by applicable Legal Requirements or any applicable stock exchange rules, neither Party will make nor cause to be made any public announcement or release concerning this Agreement or the transactions contemplated hereby without the prior written consent of the other Party.
PUBLIC ANNOUNCEMENTS AND RELEASES. Except to the extent required by applicable law, no disclosure or public announcement of (i) this Agreement, any of the provisions hereof, or any of the transactions contemplated hereby, or (ii) any confidential information concerning the Corporation or the Buyer, shall be made by the Buyer.

No party to this Agreement will make or cause to be made any public announcement or release concerning this Agreement or the transactions contemplated hereby without consultation with the other parties to this Agreement, except that each party may make such announcements or filings under the rules and regulations of the Securities and Exchange Commission and New York Stock Exchange rules as may, on advice of counsel, be required.
PUBLIC ANNOUNCEMENTS AND RELEASES. None of the parties hereto shall make any press release or other public disclosure, either written or oral, of the transactions contemplated by this Agreement without first obtaining the consent of the other parties hereto, except as may be required by Applicable Law or the rules of any exchange on which such party is listed.

Except to the extent required by applicable Law, no disclosure of (a) this Agreement, the other agreements and instruments to be executed in connection herewith, any of the provisions hereof or thereof, or any of the transactions contemplated hereby or thereby; or (b) any confidential information concerning the Company, shall be made by any party hereto to any person or entity not a party hereto, and the respective employees, directors, officers, representatives and advisors of such parties (as applicable) who need to know such information. The parties hereto shall consult with each other before any party issues any press release or otherwise makes any public statements with respect to this Agreement or the transactions contemplated hereby, and, except as may be required by Law, any such press release or public statement shall be approved in advance by all parties.
PUBLIC ANNOUNCEMENTS AND RELEASES. Except to the extent required by applicable law, no disclosure or public announcement of (a) this Agreement, the other agreements and instruments to be executed in connection herewith, any of the provisions hereof or thereof, or any of the transactions contemplated hereby or thereby, or (b) any confidential information concerning the Corporation or the Buyer, shall be made by the Buyer or the Trustee. Notwithstanding the foregoing, the parties (and each employee, representative or other agent of any party) may disclose to any and all persons, without limitation of any kind, the tax treatment and tax structure of the transaction contemplated by this Agreement and all materials of any kind (including opinions and other tax analyses) that may have been provided to such disclosing party relating to such tax treatment and tax structure.

No party to this Agreement will make or cause to be made any public announcement or release concerning this Agreement or the transactions contemplated hereby without consultation with the other parties to this Agreement, except that Buyer may make such filings under the rules and regulations of the Securities and Exchange Commission and New York Stock Exchange rules as may, on advice of counsel, be required. Buyer shall use reasonably best efforts to afford Sellers the right to review and comment on any such filings before they are made. Sellers shall have no liability to Buyer, any officer, director, underwriter or agent of Buyer, or any third party (including, without limitation, any shareholder of Buyer) for any statement made or omitted to be made in any such filing.

No party to this Agreement will make or cause to be made any public announcement or release concerning this Agreement or the transactions contemplated hereby without consultation with the other parties to this Agreement, except that Essef Corporation may make such filings under the rules and regulations of the Securities and Exchange Commission and NASDAQ or other applicable stock exchange rules as may, on advice of counsel, be required and the parties may make such filings and disclosures as may be necessary to comply with their obligations under Section 5 hereof.

No Party shall make or cause to be made any public announcement or release concerning this Contract or the transactions contemplated hereby without the prior written consent of the other Party, except that the Buyer may make such filings under the rules and regulations of the PRC, the United States and Hong Kong, as may be required in connection with the transactions contemplated hereby.
