PROFESSIONAL FEE BASIS. For the Appointment, the Architect is paid exclusively by the Client in the form of fees in accordance with the provisions in clauses C 5.1.1, C 5.1.2, C 5.1.3 here below or a specific method agreed by the Parties and stipulated in the Memorandum of Agreement. Irrespective of the basis of fee calculation, direct expenses incurred by the Architect within the scope of her/his Appointment (including the cost of professional indemnity insurance) are charged extra in addition to the fee unless the Memorandum of Agreement stipulates that they are included in the fee calculation. As defined and detailed in the Fee Schedule, these expenses are confirmed by a written memorandum. The disregard by the Contractor of her/his obligations is without incidence on the Architect’s right to receive her/his fees under the provisions of this Agreement.

  • Professional Fees Borrower promises to pay Lender’s fees and expenses necessary to finalize the loan documentation, including but not limited to reasonable attorneys fees, UCC searches, filing costs, and other miscellaneous expenses. In addition, Borrower promises to pay any and all reasonable attorneys’ and other professionals’ fees and expenses (including fees and expenses of in-house counsel) incurred by Lender after the Closing Date in connection with or related to: (a) the Loan; (b) the administration, collection, or enforcement of the Loan; (c) the amendment or modification of the Loan Documents; (d) any waiver, consent, release, or termination under the Loan Documents; (e) the protection, preservation, sale, lease, liquidation, or disposition of Collateral or the exercise of remedies with respect to the Collateral; (f) any legal, litigation, administrative, arbitration, or out of court proceeding in connection with or related to Borrower or the Collateral, and any appeal or review thereof; and (g) any bankruptcy, restructuring, reorganization, assignment for the benefit of creditors, workout, foreclosure, or other action related to Borrower, the Collateral, the Loan Documents, including representing Lender in any adversary proceeding or contested matter commenced or continued by or on behalf of Borrower’s estate, and any appeal or review thereof.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • VENDOR MANAGEMENT FEE Contractor shall pay to Enterprise Services a vendor management fee (“VMF”) of 1.5 percent on the purchase price for all Master Contract sales (the purchase price is the total invoice price less applicable sales tax).

  • Professional Dues The school district will pay the annual dues for the Superintendent’s membership in the American Association of School Administrators, Association for Supervision and Curriculum Development, and Nebraska Council of School Administrators. The Superintendent’s membership in other professional organizations will be considered annually and may be approved at the discretion of the school board.

  • Construction Management Fee The Construction Management Fee for the Project shall be either a ☒Lump Sum or ☐Not-To-Exceed Fee of Fifty-One Thousand, Four Hundred Fifty-Six Dollars and Twenty-Three Cents ($51,456.23). NOTE: Allowances will be on a Not-To-Exceed basis. All unused funds will be returned to the School District at the time of construction closeout.   • Professional Service Consultant agrees that all services and work performed under this agreement will be accomplished in a professional manner, in accordance with the accepted standards of Contractor’s profession.

  • TRAVELLING ZONE EXPENSES 1.01 Work performed outside the city limits shall be termed Out-of-Town Work.

  • Allowable Costs Allowable Costs are restricted to costs that comply with the Texas Uniform Grant Management Standards (UGMS) and applicable state and federal rules and law. The Parties agree that all the requirements of the UGMS apply to this Contract, including the criteria for Allowable Costs. Additional federal requirements apply if this Contract is funded, in whole or in part, with federal funds.

  • Monthly Billing The electric service charge shall be computed in accordance with the monthly billing in the applicable standard service tariff. Customers receiving electric service under residential and small nonresidential schedules 1, 2, 3, 15, 23 or 23B shall be financially credited for such net energy with a cumulative kilowatt-hour credit. The credit will be deducted from the customer’s kilowatt-hour usage on the customer’s next monthly bill thus offsetting the customer’s next monthly bill at the full retail rate of the customer’s rate schedule. Customers receiving electric service under large nonresidential schedules 6, 6A, 6B, 8 or 10 must elect a compensation method to receive cumulative credits for the upcoming annualized billing period from one of the following options (large nonresidential customers must initial desired credit election): an average energy price, a seasonally differentiated energy price, or an average retail rate.
