Opinion of Regulatory Counsel. On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of King & Spalding LLP, counsel for the Company with respect to regulatory matters, dated as of such date, in the form attached hereto as Exhibit E and to such further effect as the Representative shall reasonably request.
Opinion of Regulatory Counsel. The Placement Agents shall have received from Xxxxxxx LLP, regulatory counsel to the Company, such counsel’s written opinion, addressed to the Placement Agents and dated the Closing Date, in form and substance as set forth in Exhibit E1 attached hereto.
Opinion of Regulatory Counsel. Parent and Merger Sub shall have received opinions of regulatory counsel to the Company regarding telecommunications regulatory matters, substantially in form and substance as set forth on Exhibit C.
Opinion of Regulatory Counsel. At the Closing Time, the Underwriters shall have received the favorable opinion, dated as of the Closing Time, of Jxxxxxxx & Bxxxxx, regulatory counsel of the Company, in form and substance satisfactory to counsel for the Underwriters acting reasonably to the effect set forth in Exhibit D hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of Regulatory Counsel. At Closing Time, the Representatives shall have received, dated as of Closing Time, the following opinion from Xxxxxxxxx & Xxxxxxx, regulatory counsel for the Company:

At the Closing Time, the Agents shall have received the favourable opinion, dated as of the Closing Date, of Fasken Xxxxxxxxx XxXxxxxx LLP, regulatory counsel of the Company, in form and substance satisfactory to counsel for the Agents acting reasonably to the effect set forth in Exhibit D hereto and to such further effect as counsel to the Agents may reasonably request. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its subsidiaries and certificates of public officials.
Opinion of Regulatory Counsel. MxXxxxxxx Will & Exxxx LLP, regulatory counsel for Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.
Opinion of Regulatory Counsel. The Initial Purchasers shall have received an opinion, dated the Closing Date, of Holland & Knight LLP, special regulatory counsel of Express Scripts, to the effect the statements in the General Disclosure Package and Final Offering Circular (including the documents incorporated by reference therein) under any headings relating to regulatory disclosure, insofar as they constitute summaries of legal documents, legal proceedings or refer to matters of law or legal conclusions, are accurate in all material respects.

The Representatives shall have received an opinion, dated the Closing Date, of Ropes & Xxxx LLP, special regulatory counsel of the Company, to the effect the statements in the Disclosure Package and Final Prospectus (including the documents incorporated by reference therein) under any headings relating to regulatory disclosure, insofar as they constitute summaries of legal documents, legal proceedings or refer to matters of law or legal conclusions, are accurate in all material respects.
Opinion of Regulatory Counsel. On each Closing Date, there shall have been furnished to you, as Representative of the several Underwriters, the opinion of Xxxxx Lovells US LLP, regulatory counsel for the Company, dated such Closing Date and addressed to you in substantially the form attached hereto as Exhibit C.
