Common use of Opinion of Regulatory Counsel Clause in Contracts

Opinion of Regulatory Counsel. On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of King & Spalding LLP, counsel for the Company with respect to regulatory matters, dated as of such date, in the form attached hereto as Exhibit E and to such further effect as the Representative shall reasonably request.

Opinion of Regulatory Counsel. On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of King & Spalding Xxxxxx and Xxxxxxx, LLP, counsel for the Company with respect to regulatory matters, dated as of such date, in form and substance reasonably satisfactory to the form attached hereto as Exhibit E and to such further effect as the Representative shall reasonably requestRepresentative.

On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of Hxxxx Lovells US LLP and negative assurance letter of King & Spalding LLP, each counsel for the Company with respect to regulatory matters, dated as of such date, in the form forms attached hereto as Exhibit E Exhibits E-1 and E-2 and to such further effect as the Representative shall reasonably request.
