Notice and Administrative Costs. The reasonable and authorized costs and expenses of disseminating the Class Notice in accordance with the Preliminary Approval Order, and all reasonable and authorized costs and expenses incurred by the Settlement Administrator in administering the Settlement, including, but not limited to, any costs and expenses associated with performing the obligations imposed by the Settlement Agreement; assisting Class Members, and the Parties and Counsel for the Parties; administering the Settlement Fund; and issuing and mailing settlement payments.

Notice and Administrative Costs. Subject to the Common-Benefit Holdback Assessment set forth in Paragraph 6.6 (which may be applied at a later date), within twenty-one (21) calendar days after Preliminary Approval, 3M shall wire transfer up to $5,000,000 to the Qualified Settlement Fund account, as described below, for ultimate distribution in accordance with this Agreement. If the Qualified Settlement Fund has not been established and approved by the Court by the deadline for such payment, 3M shall not be obligated to make such payment until ten (10) Business Days after the Qualified Settlement Fund is established and approved by the Court. In no event shall 3M have any liability whatsoever with respect to any installment of the Settlement Funds once it is paid to the Qualified Settlement Fund in accordance with this Agreement and as specified in this Section 6. The amounts that will be due in each installment, as well as the dates for the installments, are set forth in the Payment Schedule in Exhibit K.

Within sixty (60) Days of receipt of the Class Member Payment Information, the Settlement Administrator, Santee Xxxxxx, and the Electric Cooperatives shall provide the Authorized Recipients with their percentage share of the Common Benefit Fund balance as of that date.
