No Violation of Prior Agreements. Seller’s execution and performance of this Agreement will not conflict with any other agreement, obligation, promise, court order, administrative order or decree, law or regulation to which Seller is subject, including any agreement the prohibits the sale or pledge of Seller’s future receipts.

Mxxxxxxx’s execution and performance of this Agreement will not conflict with any other agreement, obligation, promise, court order, administrative order or decree, law or regulation to which Merchant is subject, including any agreement that prohibits the sale or pledge of Merchant’s income or receipts.

Employee hereby represents and warrants that the exercise of the duties Employee performs for GIP, Employee’s execution of this Agreement or Employee’s performance hereunder do not and will not constitute a violation of any existing restrictive covenants given to any former or current employer or other third party.

The Grantee represents to the City that execution and delivery of this Agreement by the Grantee will not violate any provisions of organization of the Grantee, including, without limitation, Articles of Organization or Operating Agreement of the Grantee, or any provision in any agreement, mortgage, lease lien, judgment, debt, decree or other instrument to or by which the Grantee is a party or is bound.
No Violation of Prior Agreements. Employee hereby represents and warrants that he/she is not bound by any non-compete or non-solicitation or confidentiality restriction with any organization that would restrict the fulfillment of the terms of his/her employment with the Company.

Contractor hereby represents and warrants that neither the exercise of its responsibilities to Xxxxxx Sign, Contractor’s execution of this Agreement nor Contractor’s performance hereunder will constitute a violation of any existing restrictive covenants given to any other entity or third party.

Stirling represents to the City that execution and delivery of this Agreement by Stirling will not violate any provisions of organization of the Stirling, including, without limitation, Articles of Organization, Operating Agreement, or any other limited liability agreement of Stirling, or any provision in any agreement, mortgage, lease lien, judgment, debt, decree or other instrument to or by which Stirling is a party or is bound.

The Licensee represents to the City that execution and delivery of this Agreement by the Licensee will not violate any provisions of organization of the Licensee, including, without limitation, Articles of Incorporation, Bylaws, Certificate of Partnership or any partnership agreement of the Licensee or any provision in any agreement, mortgage, lease lien, judgment, debt, decree or other instrument to or by which the Licensee is a party or is bound.
