Merchants Business Other Processors. 9.1 Merchant will comply with all laws, rules and regulations,including but not limited to laws and regulations regarding anti-money laundering compliance, and Office of Foreign Asset Control compliance, in completing Transactions, submitting them to Provider, performing its obligations under this Agreement, and otherwise conducting its business.

Merchants Business Other Processors. 10.1 Merchant will provide Clearent and Bank at least 30 days prior written notice of its intent to (a) sell, assign or otherwise transfer any substantial part (10% or more) of the total stock or assets of, and/or to liquidate, Merchant or any location of Merchant that accepts Cards; (b) change Merchant’s name or location; (c) change the management of Merchant’s business; (d) change the basic type or nature of the business carried out by Merchant; or (e) change any material information concerning Merchant in the Merchant Application. Upon the occurrence of any such event, the terms of this Merchant Agreement may be modified to address issues arising there from, including but not limited to requirements of applicable Card Brands.
