Limitations of hypothetical performance results Hypothetical performance results have many inherent limitations, some of which are described below. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. In fact, there are frequently sharp differences between hypothetical performance results and the actual results subsequently achieved by any particular trading program. One of the limitations of hypothetical performance results is that they are generally prepared with the benefit of hindsight. In addition, hypothetical trading does not involve financial risk, and no hypothetical trading record can completely account for the impact of financial risk in actual trading. For example, the ability to withstand losses or to adhere to a particular trading program in spite of trading losses are material points which can also adversely affect actual trading results. There are numerous other factors related to the markets in general or to the implementation of any specific trading program which cannot be fully accounted for in the preparation of hypothetical performance results and all of which can adversely affect actual trading results. The hypothetical performance results displayed on the Platform’s website are hypothetical results in that they represent trades made in a demonstration ("demo") account. Transaction prices were determined by assuming that buyers received the ask price and sellers the bid price of quotes SPEWAY LIMITED receives from the Executing Firm at which a System Provider maintains a demo account. The hypothetical results do not include any additional markups or commissions which may be charged by a customer's Forex broker and are based on a one lot trade size. Trades placed in demo accounts are based on a System Provider having access to an unlimited amount of funds. As a result, demo accounts are not subject to margin calls and have the ability to withstand large, sustained drawdowns which a customer account may not be able to afford. Trades placed in demo accounts are not subject to price slippage which may occur when a signal is actually traded in a customer account.

  • Allocations of Profits and Losses Except as otherwise provided in this Agreement, Profits and Losses (and, to the extent necessary, individual items of income, gain or loss or deduction of the Partnership) shall be allocated in a manner such that the Capital Account of each Partner after giving effect to the Special Allocations set forth in Section 5.05 is, as nearly as possible, equal (proportionately) to (i) the distributions that would be made pursuant to Article IV if the Partnership were dissolved, its affairs wound up and its assets sold for cash equal to their Carrying Value, all Partnership liabilities were satisfied (limited with respect to each non-recourse liability to the Carrying Value of the assets securing such liability) and the net assets of the Partnership were distributed to the Partners pursuant to this Agreement, minus (ii) such Partner’s share of Partnership Minimum Gain and Partner Nonrecourse Debt Minimum Gain, computed immediately prior to the hypothetical sale of assets. For purposes of this Article V, each Unvested Unit shall be treated as a Vested Unit. Notwithstanding the foregoing, the General Partner shall make such adjustments to Capital Accounts as it determines in its sole discretion to be appropriate to ensure allocations are made in accordance with a partner’s interest in the Partnership.

  • Limitations on Contributions By executing this Agreement, Contractor acknowledges its obligations under Section 1.126 of the City’s Campaign and Governmental Conduct Code, which prohibits any person who contracts with, or is seeking a contract with, any department of the City for the rendition of personal services, for the furnishing of any material, supplies or equipment, for the sale or lease of any land or building, for a grant, loan or loan guarantee, or for a development agreement, from making any campaign contribution to (i) a City elected official if the contract must be approved by that official, a board on which that official serves, or the board of a state agency on which an appointee of that official serves, (ii) a candidate for that City elective office, or (iii) a committee controlled by such elected official or a candidate for that office, at any time from the submission of a proposal for the contract until the later of either the termination of negotiations for such contract or twelve months after the date the City approves the contract. The prohibition on contributions applies to each prospective party to the contract; each member of Contractor’s board of directors; Contractor’s chairperson, chief executive officer, chief financial officer and chief operating officer; any person with an ownership interest of more than 10% in Contractor; any subcontractor listed in the bid or contract; and any committee that is sponsored or controlled by Contractor. Contractor certifies that it has informed each such person of the limitation on contributions imposed by Section 1.126 by the time it submitted a proposal for the contract, and has provided the names of the persons required to be informed to the City department with whom it is contracting.

  • Conditions of Service (1). The Dallas County Community College District Dual Credit program falls under Texas Higher Education Coordinating Board Rule 19 TAC §§ 4.81-4.85, “Dual Credit Partnerships Between Secondary Schools and Texas Public Institutions of Higher Education.” Services under this Agreement are limited exclusively to Dual Credit for a tuition scholarship for approved Dual Credit courses (Attachment B). For Dual Credit scholarship see 4.K.1 of this Agreement.

  • Excuse from performance of obligations If the Affected Party is rendered wholly or partially unable to perform its obligations under this Agreement because of a Force Majeure Event, it shall be excused from performance of such of its obligations to the extent it is unable to perform on account of such Force Majeure Event; provided that:

  • CONDITIONS OF HIRE Agreements with Age Connects Morgannwg for the hire of space at Cynon Linc or any part thereof (“the Premises”) are subject to these Terms and Conditions of Hire (“the Hire Conditions”). UNDERTAKING OF THE HIRER The Hirer undertakes to ensure that they understand the Hire Conditions. SUPERVISION BY THE HIRER The Hirer undertakes to be present, or arrange for sufficient adult representatives to be present, throughout the hiring to ensure compliance with the provisions and stipulations contained or referred to in these Hire Conditions and any relevant licenses. RESPONSIBILITY OF THE HIRER The Hirer shall be responsible during the period of hire for: – Being familiar with, and complying with, the guides provided for the use of the Premises Ensuring that the Premises are kept secure for the duration of the hire Supervision of the use of the Premises and the care of its fabric and contents Ensuring that the purpose and conduct of the hire does not disrupt the use of any other room hired by other persons Ensuring that the Premises including public areas are left clean and tidy with rubbish removed from the rented space at the end of the hire. If we are required to undertake a deep clean of the rented space after your booking, you accept you will be held liable for the full amount incurred in doing so and will be invoiced for any work undertaken in respect of such cleaning. Ensuring that all equipment, chairs and tables have been returned to their original positions safely, the Premises are cleared of people, all lights switched off, and the rented space secured. Ensuring that any temporary fittings and fixtures comply with Health and Safety guidance, and in particular ensuring that any decorations used are not a fire hazard. Ensuring that any equipment or electrical appliances brought onto the Premises and used there shall be certified safe (XXX Tested) and in good working order and used in a safe manner. Ensuring that no animals (including birds), except assist dogs are brought into the building, without written permission of the management on the occasion of a special event or hire agreed to by the management FIRE REGULATIONS The Hirer shall: Ensure that the “Emergency Exit” signs are kept illuminated and not obscured. Ensure that the Fire Brigade is called to any outbreak of fire, however slight, and details given to the management. Prior to the start of an event indicate the fire exits and Evacuation Meeting Place to the persons attending the event. The Evacuation Meeting Place is outside the rear gates for the back of the building and on the pavement to the front of the building No person may re-enter the building without the permission of the Fire Brigade.
