Limitation on Voting. The right of the Limited Partners to vote pursuant to this Agreement shall extend solely to those matters expressly set forth in Section 13.1 hereof. Notwithstanding anything to the contrary contained in this Agreement, no action by vote of the General and Limited Partners shall be effective unless and until the Partnership shall have received an opinion of counsel or ruling from the Internal Revenue Service, that such action will not cause the Partnership to cease being characterized as a partnership rather than an association taxable as a corporation for purposes of the Internal Revenue Code, as then in effect.

For the avoidance of doubt, if JPMS or any of its Affiliates shall transfer any Excess Voting Stock to any other person that is not an Affiliate of JPMS, the limitation set forth in this paragraph shall no longer apply to such Excess Voting Stock. Excess Voting Stock may only be transferred by JPMS or any of its Affiliates: (a) among or between JPMS and its Affiliates; (b) in a widespread public distribution; (c) in transfers in which no transferee (or group of associated transferees) would receive from JPMS and its Affiliates in such sale or transfer two percent (2%) or more of any class of voting securities of the Corporation, which for the avoidance of doubt, does not include the amount of securities already owned by such transferee (together with its Affiliates or group of associated transferees) prior to such transfer; (d) to an underwriter for the purpose of conducting a widespread public distribution of the voting securities of the Corporation; (e) to the Corporation; or (f) to a transferee that would control more than fifty percent (50%) of the voting securities of the Corporation without any transfer of Excess Voting Stock from JPMS or its Affiliates. Shares of Common Stock or other equity securities that constitute Excess Voting Stock, for so long as they constitute Excess Voting Stock, shall not be entitled to vote in any election of directors or any other matter with respect to which stockholders of the Corporation are entitled to vote.
Limitation on Voting. During the term of this Pledge, Pledgor shall not be entitled to vote the Pledged Shares with respect to the following questions or issues presented to the shareholders of the Corporation: (a) the liquidation or dissolution of the Corporation, (b) the sale of all or substantially all the assets of the Corporation, (c) the filing of a petition by the Corporation under the Federal Bankruptcy Code or any amendment thereto or under any other insolvency law or law providing for the relief of debtors, including, without limitation, a petition for reorganization, or the commission by the Corporation of an act of bankruptcy, or the voluntary making of an assignment of assets for the benefit of its creditors, or the appointment of a trustee or receiver for the Corporation or the Corporation's assets, or the institution by the Corporation of any other type of insolvency proceeding (under the Bankruptcy Act or otherwise).
Limitation on Voting. Notwithstanding any other provision herein, in no event shall this Debenture be convertible into a number of shares of the Corporation such that the Holder would own or control directly or indirectly in any manner whatsoever in excess of 35% of the voting shares of the Corporation issued and outstanding on the Effective Date of Conversion.

If included in Texas construction contracts, such provisions are voidable by a party obligated by the contract or agreement to perform the work. By submission of this proposal, Vendor acknowledges this law and if Vendor enters into a construction contract with a Texas TIPS Member under this procurement, Vendor certifies compliance.

For the protection and enforcement of the provisions of this Section 6.04, each and every Holder and the Trustee shall be entitled to such relief as can be given either at law or in equity.
