Chatham Parties definition

Chatham Parties means, collectively, Chatham Asset Management, LLC and each of its managed funds or accounts that is a beneficial Holder of the First Lien Notes or Third Lien Notes, or that is a “Lender” under (and as defined in) the Second Lien Credit Agreement.
Chatham Parties means Chatham Asset Management LLC and its Affiliates.

  • Except as otherwise provided for in the Plan or ordered by the Bankruptcy Court, distributions under this Agreement, and payments from the Escrows, as applicable, for the professional fees and expenses of (i) the Chatham Parties, other than the Deferred Amounts Claims, (ii) the Brigade Parties, (iii) the 2027 Debentures Trustee and the 2029 Debentures Trustee, and (iv) Seward & Kissel LLP shall be paid on the Effective Date subject to the Professional Fee Caps set forth in the Admin Liability Schedule.

  • Investor Parties has the meaning set forth in the Preamble.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Parent Related Parties means, collectively, (i) Parent or Merger Sub; and (ii) the former, current and future holders of any equity, controlling persons, Representatives, Affiliates (other than Parent or Merger Sub), members, managers, general or limited partners, stockholders and assignees of each of Parent and Merger Sub.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Party/Parties means Buyer and Seller individually/collectively.

  • Purchaser Related Parties has the meaning specified in Section 6.1.

  • Spectrum means frequencies of electromagnetic spectrum used to provide fixed or mobile communications services as licensed or authorized by the FCC.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Selling Parties shall have the meaning specified in the preamble.

  • Licensee Parties has the meaning ascribed to such term in Section 5.1.

  • Affiliated Persons or "AFFILIATES" means

  • Carlyle means Carlyle Investment Management, LLC.

  • Company Related Parties means, collectively, the Company and the Company Subsidiaries and any of their respective former, current or future stockholders, managers, members, directors, officers, employees, agents, advisors, other representatives or successors or assignees of any of the foregoing.

  • Controlled Affiliates means with respect to any Person, any other Person that directly or indirectly through one or more intermediaries is Controlled by such Person.

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.
