LICENSE/DEFINITION OF SERVICE. Subject to MGM's receipt of full consideration from Licensee due hereunder and the performance by Licensee of each of its obligations hereunder, MGM grants and Licensee accepts a limited license under copyright to telecast in the Territory in SD and HD and in the language(s) noted in this License Agreement, but nowhere else in the world, the motion picture(s) or program(s) licensed hereunder (the "Licensed Program(s)") only by means of Free Television as part of the Licensed Service as defined on Schedule A (herein also referred to as, the “Service”) during the license period for such Licensed Programs as set forth in this License Agreement. For the avoidance of doubt, the Licensed Service must be a free linear over-the-air terrestrial television channel. As used herein, "Free Television" shall mean (a) transmission of programs as part of a free linear over-the-air terrestrial television channel (or channels, as applicable), via linear over-the-air terrestrial television transmission where the video and audio portions of which are intended to be intelligibly received without charge (apart from any compulsory fees charged by a government or governmental agency assessed on those who use televisions)and (b) the simultaneous and unaltered linear transmission of such same programs as part of such same channel(s) by means of cable television transmission or IPTV for viewing on a television in the viewer’s residence in the Territory, provided that no additional fee is charged to viewers for such transmission apart from any compulsory fees charged by a government or governmental agency assessed on those who use televisions. As used herein, “SD” means the standard video format with a resolution of less than or equal to 576p and “HD” means the standard video format with a resolution that is greater than SD and less than or equal to 1080p (and for the avoidance of doubt, SD and HD exclude any 3D, 4K, high dynamic range, wide color gamut and virtual reality formats). As used herein, “IPTV” means an Internet Protocol television service system that transmits television content solely over a dedicated, closed, facilities-based wireline system that is accessible solely within a residence located in the Territory, whereby such television content is encrypted with AES 128 (or more robust) encryption and decryption occurs solely in a set-top box controlled by such Internet Protocol television service system for viewing on a television in the viewer’s residence.   • Definition of Service Fast Post‐Fault Active Power Recovery is the recovery of a Providing Unit’s MW Output to at least 90% of its pre‐Fault Disturbance MW Output within 250ms of the voltage at the Providing Unit’s Connection Point recovering to at least 90% of its pre‐Fault Disturbance value for any Fault Disturbance that is cleared within 900ms. The Providing Unit must be exporting Active Power to the Power System and must remain connected to the Power System for at least 15 minutes following the Fault Disturbance.
