Lawful compliance. The Issuer will at all times ensure that all necessary action is taken and all necessary conditions are fulfilled (including, without limitation, obtaining and, where relevant, maintaining in full force and effect all necessary permissions, consents or approvals of all relevant governmental authorities) so that it may lawfully comply with its obligations under all Notes and the Agreements and, further, so that it may comply with any applicable laws, regulations and guidance from time to time promulgated by any governmental and regulatory authorities relevant in the context of the Agreements and the issue of any Notes.
Lawful compliance. Each of the Issuer and the Guarantor will at all times ensure that all necessary action is taken and all necessary conditions are fulfilled (including, without limitation, obtaining and, where relevant, maintaining in full force and effect all necessary permissions, consents or approvals of all relevant governmental authorities) so that it may lawfully comply with its obligations under all Notes and the Agreements to which it is a party and, further, so that it may comply with any applicable laws, regulations and guidance from time to time promulgated by any governmental and regulatory authorities relevant in the context of the Agreements and the issue of any Notes.
Lawful compliance. The Issuer will at all times endeavour to ensure that all necessary action is taken and all necessary conditions are fulfilled (including, without limitation, the obtaining and, where relevant, maintenance in full force and effect of all necessary permissions, consents or approvals of all relevant governmental authorities) so that it may lawfully comply with its obligations under all Notes, the Agreements and, further, so that it may comply with any applicable laws, regulations and guidance from time to time promulgated by any governmental and regulatory authorities relevant in the context of the issue of Notes. The Issuer agrees to comply with the restrictions set out in paragraph 4 of Appendix B hereto.
Lawful compliance. Supplier and its employees will comply with all applicable laws, ordinances and regulations of governmental authorities and with the rules and regulations of the University and its insurers while on the University's premises. To verify compliance with the foregoing, Supplier will permit University officials to inspect Supplier's on-site operations at any time.
Lawful compliance. Each of the Issuer, PT and PTC will at all times ensure that all necessary action in The Netherlands or Portugal is taken and all necessary conditions imposed by Dutch or Portuguese law are fulfilled (including, without limitation, the obtaining and, where relevant, maintenance in full force and effect of all necessary permissions, consents or approvals of all relevant governmental authorities) so that it may lawfully comply with its obligations under all Notes, the Agreements to which it is a party and, further, so that it may comply with any applicable laws and regulations from time to time promulgated by any Dutch or Portuguese governmental or regulatory authorities relevant in the context of the issue of Notes.
Lawful compliance. Notwithstanding anything to the contrary in this Section 1, the Company shall not be required to violate or breach any applicable federal or state security law, rule, or regulation.
Lawful compliance. The relevant Seller (other than the Issuer) will at all times ensure that all necessary action is taken and all necessary conditions are fulfilled (including, without limitation, the obtaining of all necessary consents) so that it may lawfully comply with its obligations under all the Transaction Documents to which it is a party, provided that where a matter is not within its control the relevant Seller will be obliged only to make all reasonable endeavours in connection with the foregoing.
Lawful compliance. The Collaborator will perform all activities under this Agreement in compliance with all applicable laws, regulations and policies.
Lawful compliance. Improvements, additions or purchases necessary to insure compliance with lawful orders or requirements of other authorities with jurisdiction over the Airport's operations, or that are required under the terms of federal or state grants to the Port, including without limitation administrative enforcement orders whether or not issued with the Port's consent. When resolving any enforcement matters, the Port shall use its best efforts to seek reasonable, non-discriminatory and cost effective settlement terms to the extent that such terms could impact Airline's compliance costs, obligations or operations on the Premises or at the Airport.
Lawful compliance. Supplier and its employees will comply with all applicable laws, ordinances, and regulations of governmental authorities and with the policies, rules and procedures of the MFA and its insurers, while performing services for the MFA and when on the MFA's premises. To verify compliance with the foregoing, Supplier will permit MFA officials to inspect Supplier's on-site operations at any time.
