Key Management Positions. In an effort to develop an environment in which the Services may be provided in an effective manner, the Parties have jointly designated certain key Quest account management positions, including the Quest Project Manager (“Key Management Positions”), as set forth in Attachments A and B. With respect to the appointment of any replacement Quest personnel to Key Management Positions, the Parties will cooperate with each other to fill the Key Management Positions with individuals who are acceptable to State. Before assigning an individual to a Key Management Position, Quest will: (i) notify State of the proposed assignment; (ii) introduce the individual to appropriate State representatives; and (iii) subject to applicable law and Quest’s standard personnel practices, provide State with a resume, and any other information about the individual, and, if requested by State, shall propose to State the assignment of another individual of suitable ability and qualifications, within a mutually agreed upon timeframe.
Key Management Positions. The Parties may jointly designate from time to time in each SOW Key Management Positions for such SOW.
Key Management Positions. (a) In an effort to develop an environment in which the Services may be provided in an effective manner, the Parties may jointly designate from time to time certain key Accenture account management positions, including the Accenture Services Agreement Executive and the Client Partner (who has overall Client relationship responsibility) (“Key Management Positions”). With respect to the appointment of the initial and any replacement Accenture personnel to Key Management Positions, the Parties will cooperate with each other to fill the Key Management Positions with individuals who are reasonably acceptable to Client. Before assigning an individual to a Key Management Position, whether as an initial assignment or a replacement, Accenture will (i) notify Client of the proposed assignment, (ii) introduce the individual to appropriate Client representatives, and (iii) subject to applicable law and Accenture’s standard personnel practices, provide Client with a résumé, and any other information about the individual reasonably requested by Client. If Client has a good faith objection to any such assignment within ten (10) days of the date such assignment begins, Accenture will not assign the proposed individual, and will propose to Client the assignment of another individual of suitable ability and qualifications, within a mutually agreed upon timeframe.

  • Management of Company 5.1.1 The Members, within the authority granted by the Act and the terms of this Agreement shall have the complete power and authority to manage and operate the Company and make all decisions affecting its business and affairs.

  • Management and Operations 15.1 The Operator shall prepare an annual work programme and budget for each Calendar Year during the term of this Agreement. Each such work programme and budget shall set out in reasonable details, the work to be carried out, facilities to be purchased or created, training and employment programme, establishment, salaries and wages, social welfare schemes to be undertaken, and an estimate of the Expenditure to be incurred. The Operator shall present such work programme and budget to the Government and the Working Interest Owners before the start of each Calendar Year and thereafter provide a quarterly update on the implementation of such work programme and budget.

  • Transportation Management Tenant shall fully comply with all present or future programs intended to manage parking, transportation or traffic in and around the Building, and in connection therewith, Tenant shall take responsible action for the transportation planning and management of all employees located at the Premises by working directly with Landlord, any governmental transportation management organization or any other transportation-related committees or entities.

  • Management Arrangements 9.1. The Management Arrangements set out the arrangements for the strategic management of the relationship between the Authority and the Contractor, including arrangements for monitoring of the Contractor’s compliance with the Statement of Requirements, the Service Levels, the Award Procedures and the terms of this Framework Agreement.

  • Communications and Operations Management a. Network Penetration Testing - Transfer Agent shall, on approximately an annual basis, contract with an independent third party to conduct a network penetration test on its network having access to or holding or containing Fund Data. Transfer Agent shall have a process to review and evaluate high risk findings resulting from this testing.

  • Management and Control (a) Management and control of the business of the Fund shall be vested in the Board, which shall have the right, power, and authority, on behalf of the Fund and in its name, to exercise all rights, powers, and authority of managers under the Delaware Act and to do all things necessary and proper to carry out the objective and business of the Fund and their duties hereunder. No Manager shall have the authority individually to act on behalf of or to bind the Fund except within the scope of such Manager's authority as delegated by the Board. The parties hereto intend that, except to the extent otherwise expressly provided herein, (i) each Manager shall be vested with the same powers, authority, and responsibilities on behalf of the Fund as are customarily vested in each director of a Delaware corporation and (ii) each Independent Manager shall be vested with the same powers, authority and responsibilities on behalf of the Fund as are customarily vested in each director of a closed-end Management investment company registered under the 1940 Act that is organized as a Delaware corporation who is not an "interested person" of such company, as such term is defined by the 1940 Act. During any period in which the Fund shall have no Managers, CSFB Alternative Capital, as the initial Member, shall have the authority to manage the business and affairs of the Fund.
