Intellectual Property Ownership; Feedback. (a) Provider IP. Customer acknowledges that, as between Customer and Provider, Provider owns all right, title, and interest, including all intellectual property rights, in and to the Provider IP and, with respect to Third-Party Products, the applicable third-party providers own all right, title, and interest, including all intellectual property rights, in and to the Third-Party Products.

Customer hereby assign to us on its behalf, and shall cause its End Users, employees, contractors, and agents to assign, all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other Intellectual Property Rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback.
Intellectual Property Ownership; Feedback a. AppGate Intellectual Property. Customer acknowledges that, as between Customer and AppGate, AppGate owns all right, title and interest, including all intellectual property rights, in and to AppGate Intellectual Property.

As between you and us, (a) we own all right, title, and interest, including all intellectual property rights, in and to the Cloud Services and (b) you own all right, title, and interest, including all intellectual property rights, in and to Customer Data. You hereby assign to us on your behalf, and shall cause your employees, contractors, and agents to assign, all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback.
Intellectual Property Ownership; Feedback. 4.1 Customer acknowledges that, as between Customer and SparkCognition, SparkCognition owns all right, title, and interest, including all intellectual property rights, in and to the SC Software, SC SaaS Services and Documentation.

Customer acknowledges that, as between Customer and GNOSIS, GNOSIS owns all right, title, and interest, including all intellectual property rights, in and to the GNOSIS IP (including all Feedback, updates, customizations, and/or modifications thereto).

(a) Customer acknowledges and agrees that: (i) the Software and Documentation are licensed, not sold, to Customer by Xxxxx and Customer does not and will not have or acquire under or in connection with this Agreement any ownership interest in the Software or Documentation, or in any related Intellectual Property Rights; (ii) Xxxxx (or the respective rights holder in any Third-Party Products) is and will remain the sole and exclusive owner of all right, title and interest in and to the Software and Documentation, including all Intellectual Property Rights relating thereto, subject only to the limited licenses granted to Customer under this Agreement; and (iii) subject to Section 3(e)(ii)(B) above, Customer hereby unconditionally and irrevocably assigns to Xxxxx its entire right, title and interest in and to any Intellectual Property Rights that Customer may now or hereafter have in or relating to the Software or Documentation (including any rights in derivative works, enhancements or improvements relating to either of them), whether held or acquired by operation of law, contract, assignment or otherwise.

You will use commercially reasonable efforts to safeguard the Integrations, data accessed through use of the Integrations, and Company Marks (including all copies thereof) from infringement, misappropriation, theft, misuse, or unauthorized access. You will promptly notify us if you become aware of any infringement of any intellectual property rights in the Integrations and Company Marks and will fully cooperate with us, in any legal action taken by us to enforce our intellectual property rights. If you or any of your employees, contractors, and agents sends or transmits any communications or materials to us by mail, email, telephone, or otherwise, suggesting or recommending changes to the Integrations or the Company Marks, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like (”Feedback”), all such Feedback is and will be treated as non-confidential. You hereby assign to us on your behalf, and on behalf of your employees, contractors, and agents, all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback.
