Services and Documentation. All right, title, and interest in and to the Services, the iManage Software, and Documentation, including all Intellectual Property Rights therein, are and will remain with iManage. Customer has no right, license, or authorization with respect to any of the Services or Documentation except as expressly set forth in Section 3.1, in each case subject to Section 3.2. All other rights in and to the Services, the iManage Software, and Documentation are expressly reserved by iManage.
Services and Documentation. This Agreement is valid on the Effective Date and governs Your use of Our Software and Services and comprises the following sections:
Services and Documentation a) Respond to the parent or family of the child within three (3) business days from the receipt of a referral. Service Provider must enter the information related to the disposition of the referral into the BIBS, within seven (7) business days of each referral update.
Services and Documentation. Notwithstanding any other provision in this Agreement, as between Subscriber and Icertis, Icertis exclusively owns all right, title and interest in and to the SaaS and Documentation and all portions thereof, as well as all improvements, enhancements, modifications, configurations, and derivative works thereto, together with all intellectual property rights therein, including all copyrights, patent and trade secret rights. CONSULTANT’S SERVICES MAY INCLUDE: (I) PROVIDING CONSULTATIVE SERVICES SURROUNDING THE EXENDIN DEVELOPMENT AND CLINICAL PROGRAM; (II) SPEAKING WITH INVESTORS, BANKS AND OTHER OUTSIDE PARTIES REGARDING THE EXENDIN DEVELOPMENT AND CLINICAL PROGRAM; AND (III) OTHER SERVICES AS MUTUALLY AGREED. CONSULTANT SHALL BE AVAILABLE, SUBJECT TO RECEIVING REASONABLE NOTICE FROM COMPANY, FOR MEETINGS TO PARTICIPATE AND FACILITATE COMMUNICATION AND WORK FLOW.
Services and Documentation. Client acknowledges and agrees that Trovata exclusively owns all right, title and interest in and to the Services and Documentation and all portions thereof, together with all intellectual property and other proprietary rights relating thereto, including all copyrights, patent and trade secret rights, as well as all updates, upgrades, improvements, enhancements, modifications, configurations, extensions, and derivative works of any of the foregoing (including all new features, functions and integrations) however and whenever made, notwithstanding any other provision in this Agreement. Trovata reserves all rights to the Services and Documentation not expressly granted to Client under this Agreement. Client Content. Trovata acknowledges that, as between Trovata and Client, Client owns all intellectual property and other proprietary rights in and to the Client Content, including all copyrights, patent and trade secret rights therein. Subject to the rights granted by Client under this Agreement, Trovata acquires no right, title or interest from Client or Client’s licensors under this Agreement in or to Client Content, including any intellectual property rights therein. Client hereby grants to Trovata a worldwide, nonexclusive, fully-paid up, royalty-free and non-transferable (except in connection with the transfer of this Agreement pursuant to Section 12.10) license (with right to sublicense) to internally use the Client Content. Client Content will not be shared with third parties except as necessary to provide the Services. Feedback. Trovata welcomes any suggestions, proposals, ideas, recommendations or other feedback that Client may provide Trovata concerning improvements, new features and new functions in the Services (“Feedback”). Feedback excludes Client Content and other Client Confidential Information. By providing Feedback to Trovata or otherwise participating in development of the Services, Client agrees that all Feedback and any other contribution of Client related to the Services become Trovata’s exclusive property. Additionally, Client irrevocably assigns to Trovata its complete rights, titles, and interests in and to Feedback and any rights Client may have in the Services (including updates, upgrades, improvements, enhancements, modifications, configurations, extensions, and derivative works), including any and all intellectual property rights contained therein.
