Instruction to Owner Trustee. The Transferor hereby instructs the Owner Trustee to execute this Agreement on behalf of the Trust.
Instruction to Owner Trustee. By entering into this Amendment, AGM represents to Wilmington Trust Company, not in its individual capacity, but solely as the Owner Trustee of the Trust, (i) pursuant to the Trust Agreement, that it is the Instructing Party and Note Insurer as such terms are defined in the Trust Agreement and (ii) no Note Insurer Default has occurred and is continuing, and hereby instructs such Owner Trustee to execute and deliver this Amendment on behalf of the Trust. The above instruction is in accordance with Section 5.3(a) of the Trust Agreement.
Instruction to Owner Trustee. The Depositor, as the sole Certificateholder, directs the Owner Trustee, on behalf of the Trusts, to execute this Amendment.

By acknowledging and accepting this Amendment, Financial Security represents to Wilmington Trust Company, not in its individual capacity, but solely as the Owner Trustee of the Trust, pursuant to the Trust Agreement, that it is the Note Insurer as such term is defined in the Trust Agreement and hereby instructs such Owner Trustee to execute and deliver this Amendment on behalf of the Trust.

By entering into this Amendment, MBIA represents to Wilmington Trust Company, not in its individual capacity, but solely as the Owner Trustee of the Trust, (i) pursuant to the Trust Agreement, that it is the Instructing Party as such term is defined in the Trust Agreement, (ii) no Insurer Default has occurred and is continuing and (iii) the Insurer Termination Date has not occurred, and hereby instructs such Owner Trustee to execute and deliver this Amendment on behalf of the Trust. The above instruction is in accordance with Section 5.3(a) of the Trust Agreement.

Instruction to Owner Trustee. MBIA hereby instructs the Collateral Agent, as the Class B Certificateholder, to instruct the Owner Trustee to sign this Amendment. The Collateral Agent, as Class B Certificateholder, hereby instructs the Owner Trustee to sign this Amendment.
Instruction to Owner Trustee. Each of the Servicer and the Seller, as the sole Certificateholder under the Trust Agreement, hereby instructs the Owner Trustee to execute, on behalf of the Trust, this Amendment and to execute each other document and take any and all additional action as may be required in connection with the transactions contemplated by this Amendment. The Seller, in its capacity as the sole Certificateholder under the Trust Agreement, hereby waives any prior notice required under Section 4.1 of the Trust Agreement with respect to this Amendment. Each of the Servicer and the Seller hereby certifies that the above-referenced actions are duly authorized pursuant to and in accordance with the Trust Agreement and that all conditions precedent under the Basic Documents with respect to this Amendment have been satisfied or waived. Each of the Servicer and the Seller agree that all action taken by the Owner Trustee in connection with this Amendment is covered by the fee and indemnification provisions set forth in the Trust Agreement and that U.S. Bank Trust National Association shall be fully indemnified by the Servicer or the Seller in connection with action taken pursuant to this Amendment and the transactions contemplated hereby.
Instruction to Owner Trustee. By its execution of this Agreement, MBIA hereby confirms that no Insurer Default has occurred and is continuing and authorizes and instructs the Owner Trustee to execute and deliver this Agreement on behalf of the Issuer.
Instruction to Owner Trustee. Each of the undersigned Lessees and Agents (the “Instructing Parties”), by executing its counterpart of this Amendment hereby authorizes and instructs the Owner Trustee to execute and deliver this Amendment, the Tranche A Note and the Tranche B Note pursuant to Section 4.2 of the Trust Agreement. Each of the undersigned Instructing Parties hereby certifies that it has reviewed and approved of this Amendment, the Tranche A Note and the Tranche B Note, and this instruction and such action by the Owner Trustee pursuant to this instruction are not contrary to any obligation of the Owner Trustee, and are consistent with, permitted by and in compliance with each of the Operative Agreements. In order to induce the Owner Trustee to take the foregoing actions, each of the undersigned Lessees hereby agrees to indemnify Wilmington Trust Company, its directors, officers, employees, and agents (each, an “Indemnitee”) for, and agrees to hold each Indemnitee harmless against, any liability, loss or expense (including, without limitation, legal and other professional fees and expenses) incurred by an Indemnitee in connection with or arising out of the taking by Wilmington Trust Company, as Owner Trustee, of the foregoing actions. In addition, the undersigned Lessees hereby consent to the taking by the Owner Trustee of the foregoing actions.
