Sole Certificateholder definition

Sole Certificateholder. Any Certificate Owner of a Book-Entry Certificate or a Holder of a Definitive Certificate holding 100% of the then-outstanding Class X-B, Class E, Class F, Class NR Certificates or, with respect to such Classes of Certificates, an assignment of the voting rights thereof; provided, however, that the Certificate Balances of the Class A-1, Class A-2, Class A-3, Class X-0, Xxxxx X-0, Class A-SB, Class A-S, Class B, Class C and Class D Certificates have been retired.
