Host Customer Failure to Pay. Host Customer's failure to pay an invoice following the Due Date, and such failure continues for a period of five (5) Business Days after System Owner provides written notice of such nonpayment to Host Customer. Section 14.1.3 – Material Misrepresentation as of Project Effective Date. If the representations and warranties and other statements made by ·a Party to a Project Agreement misrepresent a material fact as of the Project Effective Date, and such misrepresentation has a material adverse effect and such effect is not cured within fifteen (15) days from the earlier of (a) notice from the non-breaching Party and (b) the discovery or determination by the breaching Party of the misrepresentation; provided, that if the breaching Party commences an action to cure such misrepresentation within such fifteen (15)-day period, and thereafter proceeds with all due diligence to cure such failure, the cure period shall extend for an additional fifteen (15) days.

  • Failure to Produce In the event the Buyer fails to produce the aforementioned letter or other acceptable verification by the date above in Section IV(c), this Agreement may be terminated at the election of the Seller with written notice provided to the Buyer within calendar days from the date in Section IV(c);
