If, during any subsequent Tranche, the Nuclear Group generates in the aggregate an amount of electric energy sufficient to support the creation of ZECs pursuant to the ZEC Program in an amount at or above the new lower cap and obligation, the Annual ZEC Cap Amount and Tranche Cap Amount will be restored for the Nuclear Group in subsequent Tranches. Subject to Sections 2.2, 3.2 and 12.1(b), but notwithstanding any other provision in this Agreement to the contrary, the cap reductions described in this Section 5.2(a) shall be NYSERDA’s sole remedy for Seller’s failure to produce the Threshold Amount and transfer ZECs to the NYSERDA ZEC Account, in accordance with the terms of this Agreement, through the Contract Term;

Having carried out such preliminary investigations the Hirer will decide whether to take no further action or deal with the matter informally or arrange for the matter to be handled on a formal basis. The Hirer may choose to hold an investigatory meeting (as opposed to a disciplinary meeting) with the Artiste solely to establish the facts of the case.

Force Majeure may, at the Manager’s discretion, be applied at any time to the entire remainder of a contract where more than 20% of scheduled performances have been cancelled under Force Majeure. Performance Salaries on a reduced schedule (8 performance engagement) If the engagement is for up to 8 performances per week, performance salaries shall be pro- rated to the actual number of performances performed under 8 subject to a minimum payment equivalent of 66% of the weekly salary. Salary Tier A, B, & C A third performance may be scheduled on one day of a 8, 9, or 10 show week, provided that the break provisions of the standard Agreement are observed.
